As an Assistant Vice President, Senior Counsel in the Global Technology Legal Practice Group, you will provide legal support for technology transactions and initiatives across the firm. You will work closely with business, compliance, and technology partners to structure, draft, and negotiate a wide range of technology agreements. This role empowers you to take on significant responsibility, build strong relationships, and contribute to the success of our global technology strategy. Job responsibilities

  • Structure, draft, and negotiate agreements with third parties for technology products and services, including intellectual property licenses, SaaS, software, hardware, maintenance, reseller, professional services, market data, index license, platform, and cloud services contracts
  • Manage end-to-end negotiations and coordinate with internal stakeholders to achieve timely and successful execution of agreements
  • Provide guidance and subject matter expertise on new and existing regulatory requirements to business and functional partners
  • Support the firm’s investments and acquisitions by conducting diligence on technology companies, focusing on intellectual property, controls, privacy, and technology
  • Build cross-functional teams with business, procurement, compliance, and strategy partners to address novel legal issues related to new technologies in financial services
  • Advise on contract negotiation, documentation, and dispute resolution for technology transactions
  • Interpret and advise on existing and emerging laws, rules, and regulations relevant to technology and outsourcing
  • Deliver clear, effective legal advice to both legal and non-legal professionals, including senior executives
  • Manage multiple complex matters simultaneously with outstanding organizational and project management skills
  • Select, engage, and manage outside counsel as needed for technology-related matters
  • Foster strong client and inter-department colleague relationships across a global matrix organization

     

Required qualifications, capabilities, and skills

  • Law degree or educational equivalent, with compliance to all relevant licensing requirements for the jurisdiction of employment
  • Minimum of three years of experience as a practicing attorney in a law firm or corporate law environment
  • Extensive experience drafting and negotiating contracts for technology and outsourcing transactions with third-party providers
  • Strong analytical, problem-solving, and legal research skills
  • Demonstrated business judgment and strategic thinking
  • Proven ability to independently identify issues, analyze problems, and provide viable solutions
  • Excellent verbal, written, interpersonal, organizational, creative problem-solving and negotiation skills
  • Ability to work accurately under pressure, handle deadlines, and manage multiple tasks in a high-performance environment
  • Ability to follow up on assignments in a timely manner and exercise sound business judgment
  • Ability to build consensus and collaborate across a global organization
  • Strong client service orientation and relationship-building skills

 

Preferred qualifications, capabilities, and skills

  • Familiarity with global regulatory issues relevant to technology in financial services, including outsourcing and third-party risk management
  • Strong interest in new and emerging technology solutions and applications
  • Experience supporting technology investments and acquisitions, including due diligence on intellectual property rights and privacy
  • Knowledge of cloud, data management, SaaS, and technology transactions in a financial services context 
  • Experience working with cross-functional teams on complex legal and business issues
  • Demonstrated ability to manage outside counsel effectively
  • Strong interest in emerging technology and commitment to continuous learning and  development in technology law

 

All candidates for roles in the Legal Department must successfully complete a conflicts of interest clearance review prior to commencement of employment. Attorneys must be licensed to practice law and a member in good standing or otherwise eligible to practice law in the jurisdiction in which the position is based.
