ABOUT THE ROLE
Reporting directly to Innocap’s Global Head of Structuring, you will play a key role in designing and implementing investment fund structures for our dedicated managed account clients. Your responsibilities will include drafting and negotiating a wide range of fund documentation, including, but not limited to, investment management agreements, limited partnership agreements, disclosure materials, and service provider contracts. As part of the Structuring team, you will be tasked with managing client relationships and collaborating closely with internal teams (risk, due diligence, investor relations, accounting, operations, and compliance). This client-facing position demands strong relationship management skills and deep expertise in the legal and regulatory framework for investment fund structures.
In conjunction with the leadership team, you will be responsible for the following functions:
Lead the structuring efforts with large, sophisticated investors (asset owners and asset allocators).
Develop, implement, and maintain various legal structures (US, EU, Cayman, Canada).
Draft and negotiate client agreements and fund organizational/governing documentation.
Prepare and review offering materials and related documents (prospectus, supplements, letter agreements, and subscription documents).
Negotiate agreements with external service providers.
Participate in client presentations and meetings.
PRIMARY QUALIFICATIONS & SKILLS
Juris Doctor (J.D.) or equivalent is a must.
Member of a relevant bar association.
At least 5 years of experience in legal work related to investment funds.
At least 5 years of experience in drafting and negotiating agreements.
Strong knowledge of the legal and regulatory framework for securities and financial markets.
Excellent ability to navigate complex legal structuring issues.
Proven ability to lead large-scale firm projects while maintaining a proactive, positive, and adaptable approach to work.
Excellent interpersonal and communication skills with the ability to articulate information to internal and external stakeholders, especially clients.
Detail-oriented, thorough, resourceful with a proven ability to stay organized and manage work in a timely manner.
