Job Description




The Role


MaryRuth’s is looking for a Corporate Counsel to join the Legal team in our dynamic, growing eCommerce and retail vitamin and supplement company. This individual will provide critical legal guidance on a wide range of corporate matters, ensuring that the organization consistently operates within applicable legal frameworks and effectively manages potential risks. The Corporate Counsel will collaborate closely with key stakeholders across the business to support strategic initiatives, safeguard assets, and ensure ongoing compliance with all relevant regulations. This is a full-time (40 hr/wk), paid, salary-exempt, remote position. 






Key Responsibilities:


  • Contract Negotiation & Transactions
    • Draft, review, and negotiate contracts, including licensing agreements, intellectual property rights, vendor agreements, NDAs, and other legal documentation.
    • Conduct due diligence for any potential company investments, mergers, acquisitions, and strategic partnerships.
    • Lead the development of scalable legal infrastructure, including contract management systems and compliance tracking tools.
  • Regulatory Compliance & Governance
    • Ensure adherence to regulatory bodies such as the FDA, FTC, and other industry standards.
    • Conduct regular reviews of internal policies and procedures to identify and address potential compliance risks.
    • Develop frameworks to safeguard the organization against legal liabilities.
  • Strategic Collaboration & Advisory
    • Partner with owners, investors, executives, and board members to provide strategic legal guidance.
    • Serve as the organization’s legal representative, liaising with external counsel and regulatory agencies as needed.
    • Provide counsel on employment law matters, including hiring practices, employee contracts, terminations, workplace compliance, and internal investigations.
    • Work closely with HR to support DEI policies and employee training initiatives.
  • Legal Strategy & Risk Management
    • Manage and mitigate legal actions affecting the organization.
    • Identify and assess internal and external risks, providing proactive mitigation strategies.
    • Oversee litigation strategy, settlements, and responses to legal disputes, including cease & desist letters and consumer complaints.
  • Miscellaneous
    • Other responsibilities as assigned.
    • Travel (<10%) may be required, with advance notice provided to the employee.




Qualifications


  • JD degree from accredited law school (required).
  • 7+ years demonstrated experience in corporate or regulatory law (required).
  • Proven experience in the CPG industry (strongly preferred).
  • Excellent written and verbal communication skills; ability to effectively present information to various stakeholders.
  • Strong sense of integrity, accountability, and ethics. 
  • Analytical mindset with the ability to think critically and effectively assess complex situations.
  • Exceptional time management and organizational skills in order to adhere to relevant timelines and deadlines.
  • Flexibility and adaptability; must be able to pivot and thrive in dynamic work environments.




Physical Requirements


  • Must be able to exert up to 10 pounds of force occasionally or a negligible amount of force frequently to lift, carry, push, pull, or otherwise move objects, including the human body. 
  • This role involves sitting most of the time, but may involve walking or standing for brief periods of time.
