We are seeking a General Counsel to act as CSC’s primary advisor on legal matters. The General Counsel will report directly to the Chief Operating Officer, while working closely with other departmental leaders. This role will lead the negotiation of master lease agreements, oversee UCC perfection and maintenance, and manage key supporting agreements such as landlord waivers, no-interest letters, and NDAs.
In addition, this position will serve as the primary point of contact between CSC and third-party law firms for specialized legal matters — including customer defaults, workouts, bankruptcy coordination, and other areas outside of core day-to-day leasing activities.
The ideal candidate will bring a strong corporate and commercial legal background, and the ability to balance risk mitigation with business objectives. This individual will also be forward-thinking, with a process improvement mindset—identifying opportunities to streamline legal workflows (for example, creating more efficient approaches to redlining agreements and leveraging AI tools to enhance accuracy and speed). They will approach negotiations and client interactions with a 'client-first' mentality, helping clients navigate toward successful, mutually beneficial outcomes that protect CSC’s interests while fostering long-term partnerships.
Key Responsibilities
· Review, negotiate, and draft lease agreements, contracts, and other legal documents related to equipment leasing, ensuring CSC’s interests are protected and documents comply with applicable laws and regulations.
· Provide expert legal advice and guidance to internal teams, clients, and stakeholders on matters related to equipment leasing, i including legal risks, rights, and obligations.
· Conduct legal research to stay current on laws, regulations, and precedents affecting equipment leasing and secured transactions; provide guidance on their implications for CSC and its clients.
· Collaborate with internal teams, clients, and outside counsel to identify legal issues, develop strategies, and provide practical solutions.
· Serve as CSC’s primary point of contact with third-party firms on specialized matters, including defaults, workouts, and bankruptcy coordination.
· Represent CSC in negotiations, disputes, and litigation related to equipment leasing, and manage outside counsel as needed.
· Support the resolution of disputes and conflicts through negotiation, mediation, or litigation when required.
· Ensure all legal documents, contracts, and agreements are timely, accurate, and executed in accordance with CSC’s policies and procedures.
Qualifications
Required:
· Juris Doctor (JD) degree from an accredited law school.
· Active bar license, ideally in Virginia.
· Minimum of 5 years practicing law, with a focus on commercial finance , equipment leasing or related areas.
· Demonstrated experience negotiating, drafting, and managing commercial agreements, vendor contracts, and leasing agreements.
· Ability to analyze complex legal issues and provide practical, business-oriented solutions.
· Strong attention to detail and ability to manage multiple priorities in a fast-paced environment.
· Effective interpersonal skills and ability to work collaboratively with internal teams, clients, and external stakeholders.
Preferred:
· Experience in litigation related to equipment leasing transactions or bankruptcies.
· Familiarity with accounting and finance principles related to equipment leasing, lien perfection, and secured transactions.
· Experience in M&A or leasing/financing.
· Familiarity with AI platforms and capabilities.
Strong knowledge of UCC Article 2A and Article 9.
