Job Summary:
DUGGAN BERTSCH is seeking a highly organized and detail-oriented Corporate Paralegal to join our corporate law practice. The successful candidate will provide essential support to our attorneys on a wide variety of corporate matters, including entity formation, mergers and acquisitions, corporate governance, lending transactions, contract review, and securities offerings. This role requires strong analytical skills, flexible thinking, the ability to manage multiple projects simultaneously, and the ability to communicate effectively orally and in writing. This is an excellent opportunity for a candidate who seeks exposure to a law practice and wants to learn about deal-making, working on a collaborative team with highly skilled and experienced lawyers.
Responsibilities:
Assist corporate attorneys in completing corporate transactions, including assistance in due diligence, governmental filings, drafting and reviewing documents, and managing closing processes
Prepare formation documents for business entities in various jurisdictions
Conduct legal research on corporate law and related topics
Draft and review routine corporate documents, including contracts, formation documentation, operating agreements, nondisclosure agreements, closing checklists and board and equity holder resolutions
Manage and track checklists and deadlines for filings and other corporate requirements
Communicate effectively with clients, opposing counsel, and all parties involved in corporate transactions.
Organize and maintain electronic and physical case files in accordance with firm procedures
Perform other paralegal duties and administrative tasks as needed to support the corporate law practice
Qualifications:
Associate's or Bachelor's degree
Paralegal certificate from an ABA-approved program helpful but not required
Experience as a corporate paralegal in a law firm helpful but not required
Excellent organizational skills and attention to detail
Strong written and verbal communication skills
Ability to work independently and as part of a team
Proficiency in Microsoft Office Suite (Word, Excel, Outlook)
Experience with document management systems
