Job Description:
The Real Estate Counsel provides support for the organization’s acquisition and disposition of Real Estate. This individual assists the Senior Real Estate Counsel and Real Estate Corporate Counsel and partners with and serves as a consultant to internal clients and customers to support the organization’s real estate growth goals.
Responsibilities:
- Assists in all aspects of Real Estate transactions, from pre-contract to post-closing, with a focus on title and survey review and title objection letters.
- Oversees and delegates tasks to a team of Real Estate Paralegals.
- Drafts and negotiates contracts and leases for the acquisition and sale of improved and unimproved commercial real estate; drafts and negotiates easements and other documents necessary for the use and development of properties; occasionally assists in drafting loan and sale-leaseback documents.
- Reviews and negotiates SNDAs and estoppel certificates.
- Reviews contract and lease critical dates.
- Acts as one of the organization’s knowledge experts and internal consultants for all legal matters relating to the acquisition and disposition of Real Estate.
- Works closely with Real Estate, Engineering, Construction, Tax and Finance personnel to provide legal services and advice.
- Monitors and communicates developments in relevant law, regulations and interpretations with a particular emphasis on real estate.
- Evaluates practices and processes and recommends changes as needed.
- Occasionally assists in due diligence review for potential M&A transactions.
Qualifications:
- Bachelor’s degree from an accredited university or college required
- Juris Doctor (or equivalent) Degree from an accredited college or university required
- Current, active license to practice law required
- 2+ years experience in commercial real estate with a focus on acquisition and development required
- Knowledge of and proficiency in Real Estate contracts, title and survey review, and legal transactions required
