We are seeking an experienced Senior Commercial Legal Counsel to join our team in the armored car transport industry. As a Senior Counsel, you will play a critical role in negotiating and managing complex commercial contracts, ensuring legal compliance, and strategizing efficient solutions to move from bids to successful deals. Your expertise will be essential in handling heavy sales volumes and addressing the unique challenges posed by our variable product offerings.
Key Responsibilities:
Contract Drafting, Negotiation and Review: Draft, negotiate and review a variety of commercial transactions, with a focus on strategic commercial transactions and (preferred) technology-related contracts, including software licenses, business processes, marketing agreements, products and services procurement, as well as intellectual property (IP), data privacy and data protection issues and (preferred) real estate matters. Ensure favorable terms while mitigating legal risks.
Legal Compliance: Stay abreast of industry regulations and ensure compliance with relevant laws. Advise on legal matters related to sales, transactions, and business operations.
Efficiency Solutions: Collaborate with cross-functional teams to streamline processes, optimize contract workflows, and enhance deal efficiency.
Risk Assessment: Evaluate legal risks associated with bids, proposals, and sales transactions. Provide strategic guidance to minimize exposure.
Proactive Customer-Focused Solutions: prepare a variety of business and legal communications, trainings, templates, self-service options and other initiatives to internal and external customers in addressing general business and legal matters.
M&A Support: Assist in due diligence and integration efforts for mergers and acquisitions.
Dispute Resolution: Handle contract disputes, negotiations, and settlements.
Policy Development: Contribute to the development and implementation of internal policies and procedures as requested.
Stakeholder Communication: Work closely with sales teams, executives, and external partners to achieve business objectives.
External Counsel management: Where needed, retain and manage external counsel to maximize quality while controlling costs
Perform other duties as assigned or necessary
Qualifications:
Juris Doctor (JD) from an accredited law school.
Minimum of 8-10 years of legal experience, with at least 6 years focused on commercial transactions.
Minimum of 3 years inhouse legal experience preferred but not required
Understanding of the ATM services industry preferred but not required
Skilled in negotiating and managing cash bailment agreements preferred but not required
Experience in the financial services sector, including working with financial institutions and independent ATM distributors preferred but not required
Prior experience working for or with payment network processors preferred but not required
Knowledge, Skills and Abilities:
Must be able to read, write and speak English fluently. Other languages (French, Spanish) is a plus.
Uncompromising integrity.
Strong understanding of and experience in high volume sales environments and its unique challenges. Experience in the armored car transport industry a plus but not required.
Excellent negotiation skills and ability to handle high sales volumes.
Excellent written and oral communication skills including the ability to persuade, influence, negotiate and make formal presentations in meetings and training environments
Business acumen to align legal strategies with corporate goals.
Strong organizational and time management skills. Proficiency in project management with a focus on developing solution driven plans to achieve goals, implement business requirements analysis and testing processes and identify timeline constraints and risks
Demonstrated skills in organization, problem identification and resolution at both a strategic and functional level.
Positive, competitive, confident personality and strong interpersonal skills including diplomacy and patience.
Experience with dispute resolution and/or M&A transactions is a plus.
