Position Overview
Pathway Sports and Entertainment is seeking a Director of Business and Legal Affairs to lead our legal strategy, oversee key business transactions, and ensure regulatory compliance across our operations. This role will be instrumental in managing contractual negotiations, intellectual property rights, risk mitigation, and overall legal governance. The ideal candidate will have a strong background in sports, entertainment, or corporate law, with experience navigating the evolving Name, Image, and Likeness (NIL) landscape.

Key Responsibilities
  • Oversee and manage all legal aspects of the company’s business, including licensing agreements, sponsorship deals, and commercial contracts.
  • Lead contract negotiation and drafting in collaboration with internal stakeholders and external legal counsel.
  • Ensure compliance with NIL regulations, NCAA policies, and other governing laws applicable to college athletes and commercial partnerships.
  • Provide strategic legal counsel on intellectual property, licensing rights, and athlete agreements.
  • Mitigate legal risks through proactive policy development, internal governance, and contract enforcement.
  • Collaborate with the Director of Business & Legal Affairs and other senior leadership to structure deals that align with the company’s long-term objectives.
  • Manage external counsel relationships and oversee litigation matters as necessary.
  • Stay up to date on industry trends, legal developments, and best practices in sports law and athlete representation.
  • Provide oversight, strategy and direction to outside counsel.

Qualifications
  • Juris Doctor (JD) degree from an accredited law school and active bar membership in at least one U.S. state.
  • 7+ years of experience in legal affairs, preferably within sports, entertainment, corporate law, or a related field.
  • Strong understanding of contract law, intellectual property, and regulatory compliance.
  • Experience negotiating and structuring complex commercial agreements.
  • Knowledge of NIL legislation, NCAA regulations, and the collegiate sports ecosystem is highly preferred.
  • Proven ability to balance legal risk with business objectives in a fast-paced environment.
  • Exceptional negotiation, communication, and stakeholder management skills.
  • Ability to work collaboratively across teams and provide practical, business-oriented legal advice.
  • High level of discretion and professionalism in handling sensitive business matters.
  • Proactive, hands-on approach, with a problem-solving mindset and ability to execute independently.
  • Experience working in or a passion for the sports, media, or entertainment industries is highly valued.
  • Strong legal drafting, research and negotiating skills.
  • Meticulous attention to detail and organization skills.
  • Bachelor's degree required.
