Position Description

Position Title: Paralegal – Real Estate

Department: Legal

Location: Charlotte, NC

Reports to: Managing Director

Job Summary

Barings LLC (“Barings”) is looking for a Paralegal to support the Barings’ Legal Department on the Private Assets Team. The successful candidate will provide support related to commercial real estate equity and finance legal matters.

The Team

The Barings Global Legal mission is to serve as a trusted advisor to manage and mitigate legal risk for the company and partner with our clients to support legal needs.

Primary Responsibilities

· Prepares and analyzes complex commercial real estate equity and/or finance legal documentation to resolve problems and close transactions.

· Responsible for drafting agreements and amendments.

· Completes, prepares and makes filings for entity formation, maintenance and qualification to do business.

· Prepares and/or evaluates corporate governance documents, including organizational charts, written consents, resolutions and officer certificates.

· Analyzes, evaluates and summarizes loan documentation.

· Prepares, evaluates, and negotiates resolution of some complex matters.

· Manages real estate related litigation; obtains approval of settlement offers.

· Oversees implementation of any changes in internal procedures. Proactively seeks and implements solutions to increase efficiency and effectiveness within the organization.

· Analyzes and evaluates information relevant to assignments. Prepares and evaluates complex commercial real estate equity and finance legal documentation to resolve problems and close transactions.

· Responsible for drafting legal agreements and amendments.

· Responds to internal and external legal issues as assigned.

· Undertakes continuing legal and other relevant education, including attendance at in-house seminars or training programs, outside seminars, etc.

Qualifications

· Minimum of 5 years’ experience in a corporate governance and commercial real estate equity and/or finance environment.

· Bachelor’s degree with preference of a major in Legal Studies.

· Strong working knowledge of Microsoft Office products.

· Working knowledge of Diligent Entities is helpful.

· Strong oral and written communication skills.

· Strong analytical and problem solving skills.

· Strong organizational and prioritization abilities.

· Strong interpersonal skills; capable of developing strong and effective relationships with all business areas across the organization.

· Ability to work effectively under pressure.

· Ability to work independently and as a member of a team.

· Must be willing to comply with the provisions of Barings’ Code of Ethics related to personal securities activities and other disclosure and certification requirements.
