Summary :Responsible for the legal oversight, management, and administration of the drafting, review, and negotiation of all system contracts in the areas of real estate, construction, commercial and office leases for Froedtert ThedaCare Health, Inc. (FTCH) internal contract stakeholders and other organization leaders, consistent with the FTCH mission, vision, and enterprise values, including providing legal counsel and advice for non-clinical arrangements with health care providers, dispute resolution, and compliance to applicable regulations.Responsible for providing legal oversight and counsel on property and other tax issues impacting FTCH, including management and administration of the drafting, review, and negotiation of tax-related transactions for FTCH internal contract stakeholders and other organization leaders, consistent with the FTCH mission, vision, and enterprise values, including dispute resolution, negotiations with taxing authorities and compliance to applicable regulations.Job Description:
Contracting/Area of Expertise
- Primary legal counsel on real estate and construction projects from early stages through closing to ensure that projects can be completed on time and within budget, including performing legal oversight of due diligence, land acquisition and development agreements, identifying legal, environmental and financial risks and mitigation, drafting and negotiating agreements with contractors, suppliers, or other parties, reviewing and advising on financing options and negotiating finance terms as applicable, ensuring all legal documents are in order and compliance with laws and regulations (zoning and otherwise). Partnering with other OGC members throughout and engaging, working with and managing outside legal counsel as necessary.
- Primary legal counsel on commercial lease agreements, including negotiations and advising FTCH internal contract stakeholders on issues such as permissible arrangements with health care providers, rent payments, lease renewals or terminations, subleasing, maintenance, repairs, and dispute resolution.
- Functions as lead attorney on property and other tax issues impacting FTCH, including management and administration of the drafting, review, negotiation of tax-related transactional documents and agreements, and related dispute resolution. Engage, coordinate and manage outside legal counsel as necessary.
- Work closely with business operators and leaders of the various FTCH entities to support and provide guidance on large complex construction and real estate projects and transactions.
- Provide legal guidance on contractual obligations and risk management in areas of focus. Ensure proper documentation and compliance with contractual terms.
- Be proficient in and management of the system’s contracting function.
- Works closing with VP, General Counsel (Corporate Law), Attorney Contracting Function and other department support staff to improve processes and systems to enhance the efficiency and effectiveness of the contracting function.
- Ensures proper deployment of OGC contracting team resources to assist with FTCH legal contracting matters and other contract-related duties for real estate, construction and commercial leases, and other areas as directed.
- Function as lead attorney in the resolution of legal contractual disputes related to areas of focus, including coordinating with internal resources and outside legal counsel as necessary to resolve such disputes.
- Experience with non-profit organizations is a plus, particularly regarding Wisconsin Health Care Financing Authority (WHEFA) programs.
- Ensure organizational compliance with all relevant laws, regulations, and industry standards.
- Oversee and advise on internal policies and procedures related to real estate, construction, commercial leases and, in close coordination with treasury and finance teams on tax matters, to mitigate legal risks.
- Monitor changes in pertinent legislation and regulations that may affect the company's operations.
- Collaborate with and support internal team and finance-related vendors (e.g. FTCH audit firms) on tax audits, and ensure proper record keeping and audit processes, and compliance therewith.
- Be an integral part of an advance the leadership, oversight, and efficiency of the FTCH Office of General Counsel (OGC) contracting team tasked with interpreting, drafting, reviewing and negotiating contracts, including mentoring, performance management, and evaluation, ensuring delivery of high-quality contracting team-related legal services.
- Primarily regarding real estate, construction, leases and tax matters, work closely with Attorney - Contracting Function to:
- provide appropriate mentoring, training, support and development of the OGC contracting team, including attorney and non-attorney staff,
- coordinate communication and development programs for the OGC contracting team,
- develop and build relationships with system-wide business teams, and works closely and collaboratively, with internal and external business partners,
- ensure cross-functional alignment on contracting matters,
- create and drive relationships with other key company functions, identify dependencies and facilitate collaboration and problem-solving with cross functional teams, and
- identify, collect, and report to appropriate executive teams on key performance indicators and service-level metrics concerning the OGC’s contracting team performance.
- Support and provide leadership, supervision, and development of the contracting professional support team, including recruitment, mentoring, performance management, and evaluation.
Technology and Processes
- Maximize use of and drive efficiencies in system’s contract management software system(s) and tools.
- Support and guide the OGC contracting staff responsible for the operations of the system’s contract management software system(s).
Qualifications: Minimum Experience and Education required and/or preferred
- Juris Doctorate (JD) from an accredited law school.
- Licensed to practice law as in-house counsel and in good standing in the State of Wisconsin or be eligible to seek admission to practice in Wisconsin upon hire.
- Must have a minimum of 5 to 8 years of relevant contracting experience in a non-profit setting, or with a law firm that specializes in non-profit clientele, with strong preference being the hospital or health system setting.
- Preference for experience with active participation, either as a team member or program manager in negotiating, implementing and managing large complex real estate and construction projects.
- Deep understanding of federal and state laws governing real estate, construction, leases and property tax.
