
Corporate (M&A) Associate Lateral
Practice Area: Corporate – Mergers & Acquisitions
Location: Palo Alto, CA
Schedule: Onsite or Hybrid per firm policy; full-time with standard AmLaw 20 billable expectations (~2,000+ annually)
Salary: Estimated base range of $260,000 to $420,000 with discretionary annual bonuses based on performance and firm profitability.

Description:
This role involves advising clients on domestic and cross-border M&A transactions, strategic investments, joint ventures, and general corporate governance matters. You will lead due diligence efforts, draft and negotiate purchase agreements, and coordinate with tax, IP, and regulatory teams on deal execution. The position offers consistent exposure to industry-leading technology transactions and direct client interaction, along with a strong path toward senior associate and partner-level opportunities.
Qualifications:
- JD from an accredited law school; CA Bar admission or eligibility to obtain promptly.
- Preferred class years: 2018–2022 (mid-level) or 2015+ (senior lateral).
- Significant experience in public and private M&A transactions.
- Strong drafting, negotiation, and analytical skills.
- Ability to manage multiple complex transactions independently.
- Demonstrated client service excellence and business development potential.
- Experience in tech or life sciences deals a plus.
