The Deputy General Counsel will provide strategic legal advice and support to the General Counsel and senior management team. This role is a generalist legal role with special emphasis on mergers and acquisitions, corporate development and complex domestic and international agreements. The Deputy General Counsel will play a critical role in shaping the legal strategy of the organization and ensuring that all business practices, policies, and dealings meet the highest standards of integrity and compliance.
Key Responsibilities:
Legal Advisory: Provide counsel and guidance on all legal matters affecting the company, including contracts, corporate governance, mergers and acquisitions, intellectual property, labor and employment, and regulatory compliance.
Regulatory Compliance: Ensure the company’s compliance with all applicable laws and regulations, including industry-specific regulations. Develop and implement policies and procedures to mitigate legal risks.
Contract Management: Review, draft, and negotiate a wide range of commercial agreements, including teaming agreements, licensing agreements, and collaboration agreements. Provide legal support and guidance to government contracts specialists.
Risk Management: Identify potential legal risks and provide strategic advice on how to mitigate those risks. Manage enterprise risk to ensure a cohesive approach to risk management across the organization.
Mergers & Acquisitions and Corporate Development: Oversee and provide legal support for all merger and acquisition activity in the US. Coordinate with foreign parent’s M&A team. Establish relationships with the Aerospace & Defense M&A network to provide insight to business leadership as to trends, new opportunities, and other market insight available. Execute the process of providing initial offer(s), conducting due diligence, planning integration, providing internal briefings to seek approval through the entire process and provide advice & counsel to business leadership on deal quality and feasibility. Work with business leaders to define, and refine, strategic gaps to be filled through M&A, partnership, or other combination.
Policy Development: Develop and maintain company policies on various legal issues, ensuring they are aligned with the company’s objectives and compliant with legal standards.
Stakeholder Communication: Communicate legal concepts and advice clearly and effectively to non-legal stakeholders, including the senior management and operational teams.
Total Annual Compensation Opportunity: $222,200-$305,500
The compensation range provided is a general guideline. Skills and Experience:Juris Doctor (JD) degree from an accredited law school.
Admitted to practice law in at least one state.
Minimum of 10-15 years of legal experience, with significant experience in a senior in-house legal role or a law firm.
Extensive experience in government contracts, corporate law, commercial transactions, and regulatory compliance. Strong understanding of the Federal Acquisition Regulations and other government procurement regulations.
Strong knowledge of industry-specific regulations and legal issues.
Proven leadership and management experience.
Excellent negotiation, drafting, and communication skills.
Ability to work in a fast-paced, high-pressure environment and manage multiple priorities.
High ethical standards and a commitment to maintaining confidentiality and integrity.
Preferred Qualifications:
Experience in the aerospace and defense sector.
Experience with international legal issues and cross-border transactions.
Familiarity with corporate governance best practices.
