This role will be based in our Washington, D.C. office, on an in-office basis. This role reports to the Business Director and Shareholders.

Position Summary

The Legal Support Specialist will play an essential role in supporting attorneys in our transactional practice throughout all phases of corporate transactions and business matters. This role offers valuable hands-on experience and the opportunity to collaborate closely with attorneys, clients, vendors, and other professionals in a dynamic, team-oriented environment. Candidates should also be flexible to work overtime as needed.

Key Responsibilities

Administrative and Legal Support

  • Provide high-level administrative and legal support to attorneys, including managing calendars, scheduling meetings, and coordinating travel arrangements.
  • Manage practice and transaction calendars to ensure efficient team operations.
  • Organize and maintain client records and for electronic files.
  • Perform other administrative and departmental duties as assigned.

Document Preparation and Management

  • Prepare, format, draft, review, and proofread legal documents such as contracts, agreements, resolutions, corporate filings, closing binders, and correspondence, ensuring accuracy and compliance with applicable regulations.
  • Draft, review, and edit client materials, including presentations and reports.
  • Assist attorneys in preparing and filing corporate documents with state and federal agencies (e.g., incorporations, formations, annual reports, amendments, UCC filings).
  • Support attorneys in all aspects of transactional closings, including preparation and distribution of closing documents, obtaining signatures, and preparing closing sets and post-closing binders.

Client Relationship and Business Development

  • Demonstrate an in-depth understanding of client relationships and business needs to proactively support client matters.
  • Communicate professionally with clients, counterparties, government agencies, and internal teams.
  • Review and edit marketing materials for business development, speaking engagements, and client RFP responses.
  • Prepare compelling PowerPoint presentations and other marketing materials to support client development efforts.
  • Participate in team meetings and interact with high-level corporate officials as required.

Case and Matter Management

  • Provide case management for applicable client matters and coordinate workflow within the team.
  • Monitor transaction deadlines and ensure attorneys are aware of upcoming deliverables, closing dates, and regulatory filing requirements.
  • Ensure attorneys comply with client requests and specific billing requirements.

Research, Compliance, and Billing

  • Conduct basic legal and factual research as needed, and assist with due diligence and document review.
  • Manage attorney timekeeping and billing, ensuring timely and accurate entry of billable hours.
  • Maintain confidentiality of sensitive information and demonstrate discretion in all interactions.

Resource Navigation and Support

  • Understand and utilize firm resources effectively, making recommendations to attorneys to best support client needs.

Qualifications

Skills & Competencies

  • Exceptional organizational skills and attention to detail, with the ability to manage multiple priorities and deadlines efficiently.
  • Strong verbal and written communication skills, with a professional demeanor.
  • Ability to work independently and as part of a team, demonstrating flexibility and adaptability in high-pressure situations.
  • Excellent client service orientation and the ability to interact effectively with attorneys, staff, and clients.

Education & Prior Experience

  • Associate or bachelor’s degree required.
  • Minimum of 2 years of experience supporting corporate attorneys or senior professionals in a law firm or professional services environment.
  • Experience with corporate filing, document management, and supporting business transactions.
  • Familiarity with corporate governance, entity management and transactional processes.

Technology

  • Proficiency in Microsoft Office Suite, Adobe Acrobat, and legal document management systems.
  • Experience with corporate filing platforms and entity management software (such as CSC, GEMS, hCue) is highly desirable.
  • Ability to learn new software applications quickly.

The expected pay range for this position is:

$36.66 to $42.48 per hour

Actual pay will be adjusted based on experience, location, and other job-related factors permitted by law.  Full time employees may be eligible for a discretionary bonus, health insurance with an optional HSA, short term disability, long term disability, dental insurance, vision care, life insurance, Healthcare and Dependent Care Flexible Spending Accounts, 401K, vacation, sick time, and an employee assistance program.  Additional voluntary programs include:  voluntary accident insurance, voluntary life, voluntary disability, voluntary long term care, voluntary critical illness and cancer insurance and pet insurance.  Commuter and Transit programs may also be available in certain markets.
