BBH&Co.’s Capital Partners line of business manages $50bn+ in fixed income assets and $10bn+ in structured credit assets through multiple private funds that invest in junior and residual tranches in securitizations.  BBH&CO. is seeking an attorney with experience negotiating and interpreting transactional documentation related to fixed-income strategies.  This attorney should be nimble and intellectually curious, demonstrate excellent attention to detail, sound judgment, and must be able to manage multiple projects concurrently.

WHAT YOU WILL DO

  • Provide legal analysis and advise the fixed income investment team in connection with a variety of fixed income instruments and the associated risks on a timely basis.  Those fixed income instruments include, among others, ABS, CMBS, CLOs, loan co-investments and pools, and Credit Agreements. 
  • Be the lead in-house counsel on all fixed income securitization transaction work.
  • Review and negotiate documentation for investments in structured products.
  • Advise the fixed income team on new product opportunities and assist with the creation and drafting of transaction term sheets.
  • Work with and oversee the work provided by outside counsel on a variety of fixed income-related legal matters, ensuring that standards for service delivery and cost are met.
  • Provide support for Legal Department initiatives and matters as needed.

WHAT WE ARE LOOKING FOR

  • Bachelor’s Degree and Juris Doctor Degree. Must have excellent professional credentials, including at least 5-8+ years of directly relevant work experience at a large law firm or peer investment manager, or a combination of the two.
  • Strong understanding of structured finance products and capital markets transactions.
  • Understanding of various investment vehicles, including 40 Act funds, private funds, and real estate funds.
  • Familiarity with 40 Act and Securities Act.  Understanding of ERISA preferred but not required.
  • Must be a member in good standing of the state bar, New York bar preferred.
  • Excellent analytical and organizational skills, verbal and written communication and interpersonal skills with a proven ability to communicate complex legal concepts clearly and succinctly with the capability to manage multiple priorities and deliver results under pressure.
  • Must have the ability to formulate solutions to mitigate legal and other risk while supporting business objectives, present to business partners with confidence and clarity, thrive in a team-orientated environment, and be able to take ownership of projects.
  • Self-motivated and able to work independently while fostering teamwork and collaboration.
  • High integrity, strong work ethic, and a commitment to timely follow-through on commitments.

   

Salary Range

$160,000-210,000

BBH’s compensation program includes base salary, discretionary bonuses, and profit-sharing. The anticipated base salary range(s) shown above are only for the indicated location(s) and may differ in other locations due to cost of living and labor considerations. Base salaries may vary based on factors such as skill, experience and qualification for the role.
