Overview:
BOXABL seeking a highly organized and professional Corporate Legal Manager to ensure the smooth operation of our corporate governance and compliance processes. The Corporate Legal Manager will provide critical administrative support to the Board of Directors, senior management, and stakeholders, maintaining corporate records, documents, and regulatory filings while ensuring adherence to corporate governance best practices.
Job Duties:
- Schedule, organize, and coordinate meetings of the Board of Directors and shareholder meetings. Prepare and distribute agendas, meeting materials, and minutes, ensuring decisions are documented and implemented.
- Advise the Board and senior management on corporate governance matters and ensure compliance with legal and regulatory frameworks. Stay updated on relevant law changes and best practices.
- Maintain corporate records, including meeting minutes, resolutions, share registers, and statutory filings. Prepare and submit required filings with regulatory bodies, such as the SEC and other authorities.
- Serve as a liaison between the Board, senior management, and key stakeholders. Assist with the orientation of new Board members and their ongoing education. Coordinate the annual Board evaluation process.
- Develop, update, and ensure the effective implementation of corporate governance policies and procedures. Monitor compliance across the organization and enforce adherence to policies.
- Maintain positive relationships with auditors, legal advisors, regulators, and other external stakeholders. Facilitate shareholder communications, meetings, and votes.
Qualifications:
- Bachelor’s degree in Business Administration, Law, Accounting, or related field; certification in corporate governance preferred.
- Minimum 5 years of experience in corporate governance, legal, or compliance roles, ideally in a public company.
- Strong knowledge of corporate governance practices, SEC regulations, and legal compliance.
- Excellent written and verbal communication skills; ability to prepare minutes, reports, and correspondence.
