Position available with Chapman Freeborn Airchartering, Inc. in Fort Lauderdale, FL for a Legal Adviser (Americas) with the following qualifications:

Requires a Juris Doctorate or foreign equivalent degree and 4 years of experience in the job offered or 4 years of experience managing an international charter organization. Also required is 4 years of legal experience within the aviation industry, including experience: working on corporate and regulatory matters related to air charter operations; working with North, Central, and South America laws, procedures, and guidelines; applying both common law and civil law frameworks to corporate, commercial, and financial transactions within the aviation and transportation sectors; advising both domestic and international companies, particularly with regard to cross-border transactions, joint ventures, aircraft leasing, financing, and M&A activity; performing contract negotiation and drafting, including with regard to aircraft charter agreements, ACMI leases, and master agreements; and advising air charter companies in connection with corporate structuring and governance, compliance with domestic and international aviation regulations, risk management and liability mitigation, and insurance and indemnity provisions. Job duties for this position include:

Provide legal support across practice areas and offer legal advice on a wide range of matters including employment, corporate governance, commercial contracts, tax, property, and regulatory compliance for the Americas and other regions as needed. Draft, review, and negotiate contracts and legal documents such as commercial, corporate, property, labor, and public contracts, ensuring terms are accurately documented and compliant with internal procedures. Prepare and maintain corporate documents such as Articles of Association, bylaws, board and shareholder resolutions, and support general governance matters. Identify, monitor, and advise on legal and regulatory changes affecting the business. Develop and implement risk mitigation measures in collaboration with commercial teams. Represent the company in contractual disputes and legal proceedings, providing strategic oversight and managing external counsel where necessary. Create legal precedents, internal guidance materials, and provide training to enhance awareness of legal risks and ensure compliance across teams. Serve as the primary legal contact in the U.S., supporting operational and strategic initiatives including corporate projects, internal priorities, and data protection compliance (including GDPR).

We are offering a salary of at least $81,390 per year depending on education and experience.
