As Corporate Counsel, M&A you will join our diverse and dynamic Global Legal, Business Integrity, and Government Affairs (GLBG) team as a lawyer within our flourishing M&A and Corporate Strategy practice. This role will report to the Vice President and Associate General Counsel, M&A, and will work closely with the M&A and Corporate Strategy groups, as well as with leaders and members of the GLBG organization, the finance and accounting team, and other key corporate functions.

This role reports to the VP and Associate General Counsel, M&A      

What you will do: 

  • Partner closely with the M&A team, to advance the Company’s global growth strategy by leading and executing complex global mergers, acquisitions, joint ventures, corporate venturing, divestitures and other complex projects, while guiding multidisciplinary teams through negotiation, due diligence, and post-closing integration to drive sustainable long-term shareholder value
  • Play a key role in managing all stages of mergers, acquisitions, joint ventures, key investments, and other strategic business opportunities at a corporate level, providing coordinated legal support and strategic guidance throughout the transaction lifecycle
  • Lead legal due diligence, drafting and negotiating term sheets and definitive transaction documents, manage closing transactions, and provide legal support post-closing integration activities
  • Deliver pragmatic commercially focused and legal advice that enhances business decision-making by embedding legal analysis into strategic planning, business development initiatives, and complex cross-functional projects.
  • Collaborate with cross-functional partners (Finance, Tax, HR, Regulatory) and business leadership to identify risks and opportunities, develop solutions, structure transactions and successfully execute acquisitions and investments.
  • Support preparation of deal-related materials for the Corporate M&A Steering Committee, and Board and Board Committees, and participate in such meetings as appropriate to advise on legal and risk considerations.
  • In partnership with GLBG colleagues, manage integration and expansion efforts into international markets, including identifying and addressing country specific legal and regulatory risks related to foreign ownership and control, corporate governance, SOX compliance, entity management, tax, and human resources.
  • Manage complex and sensitive projects and legal matters end-to-end working with and influencing cross-functional teams to achieve timely and successful outcomes.
  • Effectively manage external counsel, ensuring high-quality legal support while maintaining budget discipline and cost efficiency across all matters.

What you will bring:

  • JD degree and at least one US state bar admission in good standing.
  • Preferably 4 to 6 plus years of work experience in general corporate matters at a law firm, including a demonstrable history of at least second chair management of mergers and acquisitions, corporate finance transactions, and public company securities work.
  • Subject matter experience in the area of international mergers and acquisitions and working knowledge of corporate finance in both the capital and credit markets, securities laws, and corporate governance.
  • Experience with acquisition antitrust approval process.
  • Strategic thinking capability with the ability to influence the development and execution of global business strategy and to set and execute legal strategy aligned with business objectives for each transaction.
  • Strong negotiation skills and the ability to work collaboratively and effectively with internal and external stakeholders to build consensus and drive strategic project execution.

Pay Range:

$149,400.00-$199,200.00 Annual

This pay range is not a guarantee of compensation or salary. Final base salary will be determined based on several factors which may include but are not limited to responsibilities of the job, education, experience, knowledge, skills, and abilities, as well as internal equity, alignment with market data and applicable bargaining agreement (if any).

Incentive Compensation:

As a part of the total compensation package, this role may be eligible for the Ingredion Annual Incentive Plan or a role-specific commission/bonus.
