THE COMPANY  

The Low Income Investment Fund is a non-profit Community Development Financial Institution (CDFI) that mobilizes capital and partners to achieve opportunity, equity and wellbeing for people and communities. LIIF innovates financial solutions to create more equitable outcomes for all by building and preserving affordable homes, quality educational opportunities from early childhood through higher education, health clinics, healthy food retail and community facilities. In this way, LIIF provides a bridge between private capital markets and communities. LIIF’s headquarters is in San Francisco and has offices in Los Angeles, New York, Atlanta, and Washington D.C. 

 

REPORTING RELATIONSHIPS: 

This position reports to the Executive Vice President, General Counsel (EVPGC).  

 

JOB SUMMARY:  

The Paralegal provides legal, administrative, and programmatic support to the legal and compliance team. This role is integral in supporting corporate transactions, contract management, and compliance functions while working collaboratively across all levels of the organization. 

 

KEY RESPONSIBILITIES: 

Under the guidance of the EVPGC, the Paralegal: 

Contract Management: 

  • Manages contract lifecycle, including preparation, review, revision, and execution of contracts, ensuring necessary internal approvals and coordination with relevant parties.
  • Develops and implements policies and procedures for contract management, including staff training on compliance requirements.

Corporate Governance & Transactions: 

  • Assists in corporate and financial closings, including drafting ancillary documents such as secretary certificates and performing due diligence.
  • Supports corporate entity management, including forming, qualifying, and dissolving entities and maintaining necessary licenses and registrations.
  • Oversees corporate filings, including annual reports and compliance with state business registration requirements.

Board & Compliance Support: 

  • Prepares board and committee materials, including drafting resolutions, recording meeting minutes, and ensuring documentation accuracy.
  • Assists in contract and grant compliance activities.

Administrative & Research Support: 

  • Maintains organized and accurate legal files in compliance with document retention policies.
  • Conducts legal and business research to support special projects and initiatives.
  • Independently prioritizes and manages work assignments to meet deadlines.
  • Provides additional legal and compliance support as assigned by the General Counsel.

 

QUALIFICATIONS: 

  • Bachelor’s degree required and/or paralegal certificate preferred.
  • Minimum of four (4) years of corporate, real estate, or commercial transactional paralegal experience in a law firm or corporate legal department.
  • At least four (4) years of experience in contract lifecycle management and at least two (2) years in corporate entity management.
  • Knowledge of Federal, State, and Local housing, tax incentives, economic development programs, nonprofits, or financial institutions is a plus.
  • Strong time management, project management, and organizational skills.
  • Excellent written and oral communication skills, with strong attention to detail and proofreading abilities.
  • Ability to work both independently and collaboratively within a team.
  • High degree of professionalism and integrity
  • Advanced proficiency in Salesforce and Microsoft Office Suite.
  • Ability to travel as needed.

 

 

 

ADDITIONAL INFORMATION: 

LIIF offers a hybrid work environment with flexibility to balance in-office and remote work. However, all employees are expected to work on-site at least two (2) days per week. The successful candidate may be expected to travel occasionally for meetings or other Company sponsored events.
