Job Description

WHO WE ARE LOOKING FOR?

 

We are looking for a self-starter, flexible problem solver and outstanding communicator to join our Corporate Governance team as a Senior Paralegal, Corporate Governance.  You will be a key part of the paralegal team which is responsible for all aspects of NIKE’s global corporate governance function.

WHAT YOU WILL WORK ON

As Senior Paralegal, Corporate Governance – you will:

  • Support the corporate governance function in all global subsidiary matters, including management of legal entities and assisting with entity formations, dissolutions and internal restructurings
  • Draft and revise governance documents, including organizational documents, resolutions and other documents required in connection with entity maintenance
  • Maintain the entity management database
  • Respond to Know Your Customer, due diligence and internal stakeholder requests
  • Support various intercompany transactions
  • Assist in coordination of internal director and officer signatures on various corporate documents
  • Partner with Legal, Treasury, Finance and Tax teams on governance matters and serve as a resource on corporate and subsidiary matters
  • Effectively liaise with outside counsel on legal entity matters
  • Support the preparation of SEC filings (e.g., 10-Ks, 10-Qs, 8-Ks and proxy statements)
  • Perform administrative support, including coordinating and scheduling meetings, conference calls and other events related to the corporate governance function

WHAT YOU BRING

 

  • Bachelor’s degree or Paralegal Certificate plus 4 years of relevant paralegal experience, OR an equivalent combination of education, skills and experiences.
  • Corporate paralegal experience, either at a top-tier international law firm or an in-house legal department at a global company preferred
  • Excellent communication, organizational and analytical skills
  • Strong attention to detail
  • Ability to maintain confidentiality with sensitive issues
  • Ability to effectively manage and prioritize demanding workload and work well under pressure in a fast-paced environment
  • Ability to work independently with minimal oversight but also collaboratively as part of a team
