Brief Job Overview

This is a key position within Global Legal Affairs that provides counsel on a wide variety of complex legal matters relating to USP’s corporate operations, including questions and issues related to nonprofit tax law, employment law, corporate formation, and intellectual property law. The incumbent should have the judgment, maturity and skill to act with broad discretion in performing the responsibilities of the role. This role is ideal for an experienced in-house corporate law practitioner who is comfortable with direct client contact. The incumbent must be able to successfully navigate complex legal issues to resolve questions and controversies quickly and efficiently, in a practical and pragmatic fashion for a forward-thinking, agile and global-focused organization. The incumbent will be responsible for performing legal work associated with projects throughout their entire life cycle, from inception to completion.

This includes training in equitable management practices and tools to promote engaged, collaborative, and results-driven work environments.

The Associate General Counsel, Corporate Law has the following responsibilities:

• Provides legal and policy support to USP on a wide variety of complex legal matters.
• Provides guidance and models leadership qualities to the other members of the legal department in the United States and in India.
• Assesses, balances and mitigates legal, reputational and strategic risk to the organization with the successful attainment of USP’s business goals and strategies.
• Protects USP’s nonprofit tax status, and counsels on issues related to permanent establishment and corporate formation in global markets.
• Strategizes and advises on issues related to intellectual property law, including copyright, patent and trademark law. Prosecutes violations of USP’s intellectual property rights; devises strategies to protect the integrity of USP’s intellectual property portfolio.
• Advises USP’s human resources staff on complex employment law matters in the United States. Investigates, responds to complaints, and defends the organization in employment matters, with the assistance of outside counsel as required.
• Manages litigation affecting the organization, including selecting outside counsel and setting strategy to protect the organization.
• Working with the department’s standards lawyers, synthesizes solutions to novel questions intersecting USP’s standards and USP’s business operations. Helps ensure the integrity, transparency and independence of USP’s standard setting activities.
• Provides organizational support through an in-depth understanding of USP rules, procedures, and policies related to USP’s governance and standards development.
• Works collaboratively with cross-functional teams.
• Works cooperatively with global teams, including members of the global legal staff and global compliance and ethics staff.
• Assists with implementing USP rule and policies; conducts training as appropriate.
• Liaises with key internal and external legal, regulatory, and other stakeholders.
• Develops a thorough understanding of and familiarity with USP, its people, products, markets, facilities, customers, and competitors in order to identify trends and formulate structures and strategies accordingly.
• Establishes rapport and a working relationship with management and staff at all levels to encourage and continue the proactive use of in-house legal counsel.
• Performs special assignments or projects, without significant supervision.

Who is USP Looking For?

The successful candidate will have a demonstrated understanding of our mission, commitment to excellence through inclusive and equitable behaviors and practices, ability to quickly build credibility with stakeholders, along with the following competencies and experience:

• Juris Doctorate (JD) or Law degree from an accredited law school and admittance to at least one state bar (Maryland preferred).
• Minimum of seven (7) years of progressive experience/responsibility serving as internal corporate law counsel.

Compensation

Base Salary Range: USD $150,500.00 – $199,250.00 annually.
Target Annual Bonus: % Varies based on level of role.

Individual compensation packages are based on various factors unique to each candidate’s skill set, experience, qualifications, equity, and other job-related reasons.
