Job Description:

STATEMENT OF PURPOSE:

To provide administrative support and coordination in the areas of corporate governance, subsidiary management, contract administration, finance, insurance, real estate development, franchise development, and litigation management for Carlisle and its affiliates

ACCOUNTABILITIES:

Corporate:

  • Assist with and track the formation and dissolution of affiliate entities
  • Obtain FEIN and F&E account for new affiliate entities
  • Oversee the filing of state annual reports for Carlisle and its affiliates
  • Maintain the organizational structure charts for Carlisle and its affiliates
  • Maintain and coordinate the corporate minutes of Carlisle and its affiliates
  • Maintain legal entity database

Finance:

  • Assist executive team and corporate attorneys with due diligence and closing of corporate financing transactions
  • Maintain closing binders of corporate financing transactions in an organized manner

Real Estate:

  • Assist executive team and corporate attorneys with due diligence and closing of real estate transactions, mergers and acquisitions
  • Obtain and coordinate required closing documentation as requested by lender(s)
  • Calculate and track due diligence timelines per real estate purchase and sale contracts
  • Prepare and maintain contract status report for executive team   
  • Maintain closing binders of real estate transactions, mergers and acquisitions in an organized manner
  • Maintain real estate database

Development:

  • Track status of store development as required by Wendy’s Development Agreement 

Franchise:

  • Assist in preparation and submittal of required documentation to Wendy’s International for issuance of Franchise Agreements
  • Track expiration and renewal dates for Franchise Agreements
  • Coordinate and maintain franchise files in an organized manner
  • Maintain franchise agreement database  

Lease Management:

  • Track rent ramp-ups, notice requirements and expiration of intercompany and third-party store leases
  • Prepare intercompany leases and intercompany lease termination agreements
  • Coordinate and maintain intercompany and third-party lease files in an organized manner
  • Maintain intercompany and third-party lease database

Insurance:

  • Maintain exposure data schedule of properties for insurance renewal purposes
  • Assist with annual insurance renewals for properties
  • Obtain flood insurance when required, as well as tracking renewal and/or cancellation dates
  • Obtain required surety bonds, as well as tracking renewal and/or cancellation dates
  • Act as liaison with insurance brokers when acquiring/selling properties and opening/closing stores
  • Obtain and track certificates of insurance for lessors as required under third-party leases

Legal:

  • Receive and process service of process lawsuits, garnishments, subpoenas, and other legal matters
  • Act as corporate liaison with insurance company and defense counsel on litigated matters
  • Research and coordinate responses to discovery in litigation 

Coordinate corporate depositions in litigation

  • Coordinate and maintain legal files in an organized manner
  • Maintain litigation database

Administrative:

  • Perform research and other job-related duties as assigned

Knowledge:

  • Must be proficient in all Microsoft products 
  • Working knowledge of contracts administration, real estate administration, and litigation
  • Excellent organizational skills
  • Outstanding oral, written, presentation and analytical skills

Other:

  • Must be a self-starter, able to work independently with limited supervision, and multi-task while maintaining strict confidentiality in a fast-paced, often stressful and constantly changing environment
  • Must have the ability to prioritize workload to meet deadlines and work well in a team environment 
  • Database management experience is required

Education:

Associate’s degree in paralegal studies or paralegal certificate from an ABA approved program and five or more years of experience in a related position is required
