Anywhere is seeking a highly competent, detail-oriented and collaborative leader and team player to serve as Vice President, Securities and Corporate Governance. This position will be responsible for ensuring compliance with securities laws, rules and regulations, including preparation and filing of Forms 8-K, 10-Q and 10-K and annual proxy statements and all related filings. In addition, this position will be responsible for maintaining and updating (as necessary) the Company’s governance policies and practices, including the Board Corporate Governance Guidelines, Committee charters and other governing documents, to ensure compliance with SEC rules, NYSE listing requirements, best practices and Board needs.
Under the guidance of the Senior Vice President and Assistant Secretary, the successful candidate will also serve as a key advisor to the Company’s external reporting, investor relations, treasury and executive compensation teams and will be expected to provide practical, business-focused advice and solutions.
Candidates must have 8 to 10 years of experience, including 3 to 5 years’ experience supporting the securities and corporate governance needs of a publicly traded company, and 3 to 5 years’ experience with a nationally recognized law firm.
The successful candidate will have strong people leadership skills with passionate commitment to foster a diverse, inclusive, and collaborative culture to deliver high impact legal and business results. Candidates must be exceptional communicators with proven ability to facilitate discussions and issue resolution, as significant interaction with the CEO, members of the Board of Directors and key business leaders is expected. The successful candidate must also have a demonstrated ability to work both cross-functionally and with other in-house legal specialists.
Key Responsibilities:
Securities and Corporate Governance
- Ensure compliance with securities laws, rules and regulations by assisting in creating Board and/or Committee materials, as requested
- Prepare and file Forms 8-K, 10-Q and 10-K, proxy statements and all related filings for NYSE-listed company
- Maintain governance policies and practices, including corporate governance guidelines, committee charters and other governing documents
- Advise on issues relating to transactions in company common stock, including employee training, maintenance of blackout periods and Section 16 compliance
- Oversee preparations for Board Investor Outreach program and planning of annual stockholders meeting
- Advise members of senior management and the Board of Directors regarding securities and corporate governance activities, trends and best practices, including environmental, social and governance (ESG) developments
Investor Relations, Treasury and Executive Compensation
- Review, advise and assist with filing/publishing quarterly earnings releases, investor presentations, quarterly and annual reports and other public communications
- Advise on treasury activities, including credit agreement and indenture compliance, and support financing transactions and activities, including the coordination of diligence. Experience with leveraged loan and high-yield debt agreements is preferred.
- Advise on all executive compensation activities, maintain and update form equity award agreements and oversee section 16 officer filings and related activities
- Support Total Rewards team in its administration of stock-based compensation plans

Minimum Education and Experience Requirements:
- Juris Doctor (J.D.)
- Admitted to practice in New Jersey or the ability to obtain a limited corporate counsel license in New Jersey
- Eight (8) to ten (10) years of experience managing and executing securities, corporate governance and corporate finance matters at a large nationally recognized law firm or publicly traded corporation
- Experience and knowledge in risk management and evaluation
- Exceptional communicator and team leader
