SUMMARY: As a member of M Financial’s Legal and Corporate Governance team, you will be responsible for supporting the Chief Legal Officer and Board of Directors on a broad range of legal issues with a specific focus on corporate governance and compliance efforts.
RESPONSIBILITIES:
• Corporate Governance: Preparation and maintenance of corporate records, including board and committee materials, board minutes, resolutions and other governance documents. Assist with the organization of board and committee meetings and annual stockholder meetings.
• Legal Research and Document Drafting: Conduct legal research on various issues related to corporate law, securities and insurance law, including regulations, statutes and case law. Assist in drafting, editing and reviewing of legal documents such as contracts, agreements, and corporate governance documents.
• Project Oversight & Support: Contribute to a broad range of projects as assigned.

- Proficient in the use of legal research tools such as Lexis Nexis
- Proficient in the use of Microsoft Office, especially Word, PowerPoint and Outlook
REQUIREMENTS:
- Minimum of 5 years of progressively responsible, related work experience
- Minimum of 3 years of corporate or legal experience (either at a law firm or in-house)
- Current Paralegal Certificate
- Corporate Secretary experience preferred
JOB CONDITIONS AND ENVIRONMENT:
- Hybrid work environment in Dallas, TX, primarily onsite 4 days/week
- Normal office environment/desk assignment
- Extensive use of PC’s, computer terminal, display, keyboard, and mouse
- Potential for light travel, up to 10%
- Extensive hands-on work with documents, spreadsheets, and other applications
