Corporate Counsel

Are you a business law attorney looking to make an impact in healthcare? Valir Health is seeking a Corporate Counsel to serve as our primary business law counsel, addressing corporate legal matters, commercial transactions, and business operations for our growing healthcare organization and its subsidiaries.

This is a critical position where you'll provide strategic legal counsel on business law matters including corporate governance, commercial contracts, mergers and acquisitions, regulatory compliance, and risk management. Healthcare industry experience is strongly preferred but not required – we're looking for talented business lawyers who want to apply their skills in the dynamic healthcare sector.

You'll collaborate with business units across our organization to ensure operations are conducted in accordance with applicable state and federal laws and regulations, while supporting our mission of delivering exceptional healthcare services.

Corporate & Business Transactions

• Support M&A transactions, joint ventures, and strategic business deals
• Assist with due diligence, deal structuring, and transaction execution
• Draft and negotiate purchase agreements and corporate restructuring documents

Commercial Contract Management

• Review, draft, and negotiate complex commercial agreements
• Handle vendor contracts and service agreements

• Ensure legal compliance and alignment with business objectives

Legal Support & Risk Management

• Coordinate with outside counsel on business litigation matters
• Support intellectual property portfolio management
• Assist with real estate transactions and financing arrangements
• Develop policies and procedures aligned with legal requirements

• Juris Doctorate from an accredited law school
• 2-5 years of business law experience with focus on:
  • Corporate transactions and commercial contracts
  • Business regulatory matters
  • Contract negotiation and deal execution
• Strong foundation in corporate law, M&A, and corporate governance
• Excellent business judgment and analytical thinking
• Superior written and verbal communication skills

• Healthcare industry experience with understanding of healthcare business models and regulations
• Commercial transaction experience with demonstrated interest in deal execution
• Experience with intellectual property and technology law
• Background in real estate and finance law

• Ability to work independently while managing multiple business transactions
• Strong negotiation and deal-making capabilities
• Business acumen with ability to provide practical, business-focused legal advice
• Strategic thinking and complex problem-solving abilities
• Excellent attention to detail and project management skills
