This position can be based in either Palm Beach Gardens, FL or Charlotte, NC.
The Sr. Paralegal will be responsible for:
Due Diligence Coordination and Facilitation:
· Facilitate, gather, and ensure that all items have been received and reviewed by appropriate internal parties; assist with maintenance of due diligence checklists for acquisitions, dispositions and loan closings.
· Assist in maintenance of the legal department calendar tracking all contract deadlines for acquisitions and dispositions and litigation deadlines.
· Assist with maintenance of log of post-closing obligations and deadlines for acquisitions, dispositions and loan closings and ensure that post-closing obligations are satisfied by the responsible internal party.
· Draft corporate resolutions, written consents and certifications for acquisitions, dispositions and loan closings.
· Assist General Counsel with review and negotiation of company agreements, easements and other documentation relating to development and construction of projects
General Administrative Responsibilities:
· Assist with maintenance of log tracking status of lawsuits filed.
· Assist with maintenance of legal department electronic files for all Ram properties and entities.
· Assist with management and tracking of corporate filings for all Ram entities, including annual reports and business licenses.
· Update the legal department signature spreadsheet and entity log with new entity filings; prepare documents for signature, ensure proper signature blocks, and obtain signatures.
· Act as Notary.
· Submit all legal invoices for processing, track payments and distribute as needed.
· Work with Legal Associate and any other paralegals to assist with general day to day responsibilities of the legal department

· Bachelor’s degree from an accredited four-year college or university preferred.
· Paralegal certification a plus.
· A minimum of 10 years of experience in a legal environment with an emphasis on commercial real estate acquisitions, financings and dispositions.
· Florida Notary Public License.
· Proficiency with Microsoft Office suite of software, specifically including extensive experience with Word and Outlook.
