A Brief Overview
The Corporate Counsel will report to the Associate General Counsel and have extensive commercial contract experience. Primary responsibilities include negotiating and drafting a variety of commercial, technology, marketing, and other agreements; researching, assessing, and mitigating risk, and providing legal advice; and working with our business and legal teams throughout North America and globally. Position located in Boston, Massachusetts. Flexible work program available. Occasional travel.

What You'll Do

  • Excellent negotiating and drafting skills of complex commercial contracts including ECOM, retail, sales, technology, marketing, vendor, and data privacy agreements.
  • Support various departments across the organization including ECOM, Retail, Sales, Marketing, Customer Service and other business teams.
  • Manage and participate in projects including relating to ECOM, Retail, Sales, Customer Service, technology, compliance, privacy, company policies, and other areas.
  • Support advertising, marketing, promotions, and sweepstakes materials.
  • Support corporate governance activities.
  • Willingness to work with teams cross-functionally and across time zones in US (Boston, MA and Irvine, CA), Canada, Mexico and globally.
  • Build strong relationships with internal business partners as a trusted business advisor and provide proactive, practical and business-focused solutions to mitigate risk.
  • Create and provide templates and trainings to internal business teams.
  • Utilize technology and legal research tools to provide efficient legal support.
  • Participate in learning opportunities and stay informed on best practices and legal developments. Maintain high ethical standards and ensure that advice and actions align with legal, ethical, and company guidelines, protecting the integrity of the company.

How You'll Be Successful

  • Demonstrates high degree of professionalism and effective communication (written and verbal) with the ability to articulate legal concepts clearly and concisely to non-legal stakeholders.
  • Strong analytical skills to assess complex legal issues, interpret laws and regulations, and provide sound legal advice. The ability to break down intricate problems and develop coherent strategies is essential.
  • Adept at problem-solving and creating innovative solutions. The ability to think critically and develop effective strategies is key to mitigating risks and resolving disputes.
  • Excellent skills in analytical thinking, specifically, the ability to identify and define problems, collect data, establish facts, assess, and mitigate risk, and develop substantiated advice and conclusions.
  • Ability to multitask with competing priorities and work effectively under multiple deadlines - must be able to track and manage multiple projects to ensure nothing is missed, as well as ability to pivot and re-prioritize based on changing needs.
  • Attention to detail and accuracy is critical, as well as pragmatic, problem-solving mentality, and ability to follow through in a fast-paced environment.
  • Experience with and willingness to learn different areas of law and real-world legal problems.
  • Excellent interpersonal skills; listens, asks relevant questions and gets clarification when necessary. Ability to establish trust and rapport with business units and the legal team and achieve common goals.
  • Strong collaboration skills and ability to work well across teams and with team members, as well as ability to work independently, identifying and resolving problems in a timely manner with minimal supervision.
  • Must be able to maintain confidentiality in all matters.
  • Demonstrates high level of quality work and ability to be flexible and willing to work extended hours when necessary.
  • Some travel may be required throughout the United States and internationally.
  • Intermediate or advanced computer skills including Microsoft 365 and Office Suite (Outlook, Teams, Word, Excel, PowerPoint, Sharepoint, CoPilot), contract management systems (Agiloft), online legal research (Westlaw/Practical Law) and AI tools (CoCounsel).


What You'll Need

  • Juris Doctorate from an accredited law school required
  • 3-7 years legal experience in-house or with a law firm required
  • Current member of the Massachusetts Bar in good standing or another state bar with eligibility for Massachusetts in-house counsel program registration required


SALARY / PAY RANGE: $150,000 - $160,000
