Summary

Position Summary
The Associate General Counsel’s primary responsibility is to provide legal services and advice to the senior leadership team and various business units. Serve in a generalist capacity to provide support in the functional areas of Legal and Risk Management that will include contracts, business and health care transactions, clinical and research regulatory compliance, policy development, data privacy, risk management, and estate law. 

Essential Duties

  1. Regularly draft, review, and negotiate a wide range of agreements including  SaaS contracts, partnership and innovation agreements, complicated vendor agreements, business associate agreements, data use agreements, affiliation agreements, and clinical trial agreements. Ensure agreements are in compliance with institutional policy and applicable laws and regulations. Collaborate with internal stakeholders to ensure contractual agreements align with business objectives and the institution’s best interests.
  2. Advise on all relevant federal and state employment laws, providing guidance and support to HR and company leadership to maintain a compliant and inclusive workplace.  
  3. Collaborate with cross-functional teams to implement data protection policies and practices and support privacy standard practices for customers, employees, partners, and vendor personal information. 
  4. Respond to data breach incidents and manage the legal aspects of data privacy incidents and regulatory inquiries.
  5. Play a key role in advising on and implementing controls, policies, and processes necessary for the institution to achieve compliance with state and federal law, as well as support operations. 
  6. Provide general regulatory advice on relevant laws and regulations affecting hospitals and academic research arising within the day-to-day operations of the institution, including pertaining to nonprofit operations, privacy, conflicts of interest, and fraud, waste, and abuse. 
  7. Support and/or lead insurance claims and risk management initiatives. 
  8. Participate in internal investigations as needed to provide legal advice to the institution.
  9. Maintain expertise and stay current on relevant laws and regulations through self-directed professional reading, development of professional contacts with colleagues, attendance at professional development courses, and participation in  training.
  10. Act as key contributor to the achievement of the Legal and Risk Management Department goals and objectives, ensuring effective day-to-day operations.
  11. Collaborate with fellow members of Legal and Risk Management Department to ensure consistency in legal and regulatory advice.
  12. Participate in managing the NJH legal intern program.
  13. Participate in identifying legal practice management solutions and maintaining an efficient and organized department structure.

Other Duties

  1. Address legal considerations unique to academic medical centers, medical practices, institutional pharmacies (including 340B), research, and hospitals accurately and efficiently.  
  2. Shared responsibility with General Counsel for Legal on-call coverage.

Minimum Qualifications

  1. Education: Juris Doctorate (J.D.) from an accredited ABA law school. 
  2. Work Experience: 6 years of experience as a practicing attorney with experience advising clients on agreements and transactions, preferably in or regarding a healthcare setting or academic medical center.  Experience troubleshooting and managing risk and legal issues. Demonstrated ability to learn new legal areas, multitask, and efficiently advise clients.  
  3. Special Training, Certification or Licensure: Good standing membership in or eligibility for admission to the Colorado State Bar. Proficient in Microsoft Office (particularly Outlook and Word) and Adobe. Ability to utilize Westlaw, Bloomberg, Lexis Nexis, or other comparable legal research platform. Ability to learn and efficiently use software platforms to manage, track, and organize issues within the department.

Salary Range: $156,026.13 - $206,344.55
