We are seeking a Corporate Paralegal to support our in-house Legal Department. Reporting directly to the General Counsel (located in Greenwood, IN), this role will serve as the primary legal presence in our Newtown Square, PA office and support day-to-day functions. 


This role is best suited for an experienced corporate paralegal who has worked in an in-house environment and is comfortable managing commercial contracts with limited supervision.

  

Position Summary

The Corporate Paralegal will independently manage the commercial contract workflow and provide support across corporate governance, employment-related matters, and litigation coordination. The role requires strong organizational skills, sound judgment, and the ability to collaborate effectively with business stakeholders.

  

Key Responsibilities

Commercial Contracts 

  • Review, and manage a variety of commercial agreements, including:
    • Vendor and supplier agreements
    • Customer contracts
    • NDAs and confidentiality agreements
    • Service and consulting agreements
  • Prepare contract redlines and identify key business  and legal risk provisions.
  • Track renewals, amendments, notices, and compliance obligations.
  • Maintain organized contract records and support improvements to contract processes.
  • Work directly with internal stakeholders to facilitate  timely execution and compliance.

Corporate Governance & Compliance

  • Support multi-entity corporate recordkeeping and annual filings.
  • Assist with registrations and compliance tracking across jurisdictions.
  • Maintain corporate documentation and support reporting requirements.

Employment & Legal Support

  • Draft and update employment-related documents
  • Assist with internal investigations under attorney direction.
  • Support policy updates and compliance initiatives.

Litigation & Risk Coordination

  • Coordinate with outside counsel on claims and litigation matters.
  • Manage document collection and maintain legal files.
  • Track key deadlines and reporting metrics.

   

Requirements

  Required Qualifications

  • Bachelor’s degree in Paralegal Studies, Business, or related field.
  • Minimum 5+ years of paralegal experience.
  • At least 3 years in a corporate or in-house legal environment.
  • Demonstrated experience reviewing and redlining commercial contracts.
  • Strong organizational and communication skills.
  • Ability to manage multiple priorities in a fast-paced environment.
  • High level of discretion in handling confidential information.
  • Proficiency in Microsoft 365.

  

Preferred Qualifications

  • Paralegal certification.
  • Experience supporting manufacturing, industrial, or multi-entity organizations.
  • Familiarity with contract management systems.
