Job Summary:
This position will provide guidance and consultation on a variety of legal matters including, but not limited to contract negotiations, merger and acquisition transactions, litigation, employment, and general corporate governance.
Location: Denver, CO preferred
Essential Job Functions for the Corporate Counsel will include:
- Reviewing, drafting, structuring, and negotiating agreements
- Supporting M&A due diligence efforts and post-deal integration
- Assisting pre-litigation and litigation efforts, including research and writing regarding legal issues, evidence-gathering, and maintaining a command of the relevant facts and law
- Assisting, communicating with, and overseeing the work of outside counsel
- Drafting and updating internal policies
- Researching and advising on contractual, business law, corporate governance, and employment law matters
- Contract administration
- Maintaining a current working knowledge of new laws and regulatory developments
- Performing other duties as assigned
Required Knowledge, Skills and Abilities:
- Juris Doctor (J.D.)
- Licensed to practice law in at least one state (Colorado preferred)
- 3 years of experience in a law firm or in-house legal department
- Experience in corporate law and M&A law preferred
- Financial services experience preferred
- Strong drafting, research and writing skills
- Knowledge of and experience with federal securities law including the Investment Advisor Act of 1940 preferred
- Ability to work effectively with teams and independently, as well as manage and prioritize multiple projects
- Excellent communication, analytical and organizational skills
Work Schedule:
Daytime and evening hours as needed.
Working Conditions:
Professional office environment (working from the office may be required, depending on team’s needs). Will be assigned to a workstation. Standing and sitting. No heavy lifting over 10 lbs.
Salary: Average annual salary range for this position across our locations is: $120,000 to $145,000. Actual base pay within this range will be based on a variety of factors, including but not limited to the applicant’s geographic location, relevant experience, education, skills and licenses/certifications. This position is also eligible to earn incentive compensation through one of Mercer Advisors’ incentive compensation programs.
