Essential duties and responsibilities, at the direction of the general counsel. 

Contracts

  • Review and update templates and comment on owner contracts and subcontracts, and represent the Company in negotiations of contract terms and conditions with owner and / or owner representatives.
  • Dialog / mentor of staff with regard to owner contract contractual or business terms in project pricing and / or project implementation.
  • Review Subcontractor exceptions / qualifications on the Company’s Master Subcontract Agreement (MSA), Subcontractor Agreements, leases and other real estate documents, and / or Contractor Service Agreement (CSA) documentation.
  • Maintain all Master MSA, CSA and other contract documentation current and in compliance with Federal, State and local laws.
  • Review all other contract documentation utilized in the course of the Company’s business activities with BOD on the address of any legal issues associated with Board activities.

Operations

  • Provide legal support to the Operations Group (Divisional VP, Project Executives, Project Managers, Assistant Project Managers, Project Engineers, Project Coordinators, General Superintendents and Superintendents) with regard to any legal issues associated with projects or generally.

Claims & Litigation/Dispute  Management

  • Participate in all Operations’ legal issues, and coordinate with outside counsel where required, on any mediation, arbitration or litigation where such legal services cannot be provided in house.
  • File and defend bid protests and substitution hearings, as directed.
  • Participate with owners and sureties in handling bond claims, stop notices and mechanics’ liens.
  • Assist Project Teams with the defense and prosecution of claims.

Finance & Accounting

  • Work with CFO, Staff Accountants, Operations VP’s, Project Executives and Project Managers on managing Mechanics Lien and Stop Notice requirements on projects, namely: prepare and issue client letter advising of pending lien(s); file lien(s) and lien releases with appropriate jurisdictional authorities; arrange for lien bonds as and if required; provide legal support to the Accounting group on any client or subcontractor payment or accounts receivable issues, and including audit response letters.

Human Resources

  • Provide legal counsel, support and risk assessment to the Company on employment matters, including advising the Human Resources Director on various employment related issues; draft and revise employment related agreements, documents, and policies and procedures; manage employment litigation and assist in collaborating with Human Resource Director on claims; and assist with investigations and employee training.
  • Participate in all Human Resources’ legal issues, and coordinate with outside counsel where required, on any mediation, arbitration or litigation where such legal services cannot be provided by General Counsel.

Safety / OSHA

  • Work with CAO and Safety Director on the address of any legal issues associated with Safety and / or OSHA (e.g. citations).
  • Participate in any accident or incident investigations, and in the handling and prevention of claims, including worker’s compensation claims.

Risk Management

  • Provide legal counsel and risk assessments related to state and federal regulatory issues or any other legal considerations associated with the company’s business.
  • Assist with management and interface with broker and carriers regarding various insurance claims. 

Contract Disputes

  • Evaluate potential litigation and take proactive measures to prevent potential litigation.
  • Participate in the address of all legal disputes, and coordinate with outside counsel where required, on any legal matters where such legal services cannot be provided by General Counsel.
  • Government Changes and Compliance.
  • Research and oversee compliance and regulatory issues.
  • Ensure the Company’s compliance with government and corporate governance requirements.
  • Proactively identify legal and regulatory trends and provide related advice.

Legal Training

  • Counsel, advise and train internal staff to ensure compliance with applicable laws, regulations, contractual terms and conditions, liens, legislation, preservation of the relevant privileges, and all company legal and legal related policies and procedures, etc.

Other

  • Provide general business counsel and perform other related duties as assigned.
  • Maintain familiarity and comply with the industry’s policies, practices, and procedures.
  • Manage legal case load efficiently and with substantial independence, creativity and autonomy.
  • Build relationships with internal staff and external constituencies through an open and collaborative style.
  • Coordinate with external counsel when specialized legal issues arise and lead managing the work provided by external counsel and the budget for those services.
  • Develop a thorough understanding of the Company’s businesses, strategies, external commercial marketplace and regulatory environment.
  • Perform legal research in all areas as requested.

Knowledge, Education, Experience

  • Juris Doctorate from an accredited law school required.
  • Membership in the State Bar as an attorney licensed to practice law in at least one state required (CA preferred).
  • 10+ years of experience managing a broad range of legal functions.
  • 10+ years of proven business acumen and ability to develop and execute strategic plans.
  • 10+ years of proven track record of consistently and positively relating to people at all levels in an organization and maximizing external relationships.
  • 7+ years of demonstrated experience in construction law.
  • 5+ years of experience in advising and an interacting with senior executive leaders, including those with strong or diverse personalities or approaches.

Range of base pay is $275,000 - $350,000. 

Physical demands and work environment

The incumbent typically works in an office environment and uses a computer, telephone and other office equipment as needed to perform duties. The noise level in the work environment is typical of that of an office. Incumbent may encounter frequent interruptions throughout the work day. The incumbent is regularly required to sit, talk, or hear; frequently required to use repetitive hand motion, handle or feel, and to stand, walk, reach, bend or lift up to 20 pounds.

The incumbent is expected to maintain a presence at least 80% time on site at the various physical offices (currently four), and may also make frequent visits to various construction sites. At these construction sites, the incumbent may be exposed to wet and/or humid conditions; moving mechanical parts; high, precarious places; fumes or airborne particles; outside weather conditions; extreme cold and extreme heat. The employee is occasionally exposed to toxic or caustic chemicals; risk of electrical shock and risk of vibration. The noise level in the work environment is usually moderate to very loud.
