Loth Holdings, LLC is seeking a Fractional Corporate Attorney to provide legal services for 10-15 hours per week.
Detailed Responsibilities
- Consult with business unit leaders on a variety of matters including relationship (contract) structure with customers, vendors and partners.
- Draft and negotiate contracts including MSAs, NDAs, Confidentiality and Non-compete agreements, loan agreements, leases, employment agreements, subcontracts, etc.
- Develop a strategy for when a business relationship changes from the original intentions
- Consult with HR on labor matters including terminations, non-compete reviews and benefit plan questions.
- Manage relationships with outside counsel, as needed.
- Interface with Loth Holdings Owner’s as his personal legal counsel on matters impacting the company.
Required Education and Experience
- J.D Degree
- Business law experience, including:
- Corporate governance
- Contract law including terms and conditions, master services, non-competition, confidentiality, employment and construction agreements
- Mergers, acquisitions and divestitures
- Insurance
- Real estate leases
- Loan agreements
- Creditor’s rights
- Capital transactions including shareholder transactions
- Litigation management experience, including:
- Employment matters
- Commercial matters
- Financial background including familiarity with:
- Financial statements, forecasts and budgets
- Corporate finance including loan covenant calculations
- Capital structures and transactions
- Company valuation principles
- Employment and labor law including:
- Work environment matters
- Employee issues
- Employee benefit matters
- Personal financial planning including:
- Financial planning
- Estate and gift planning

- Strong written and oral communication skills
