Loth Holdings, LLC is seeking a Fractional Corporate Attorney to provide legal services for 10-15 hours per week. 
 
Detailed Responsibilities
  • Consult with business unit leaders on a variety of matters including relationship (contract) structure with customers, vendors and partners.
  • Draft and negotiate contracts including MSAs, NDAs, Confidentiality and Non-compete agreements, loan agreements, leases, employment agreements, subcontracts, etc.
  • Develop a strategy for when a business relationship changes from the original intentions
  • Consult with HR on labor matters including terminations, non-compete reviews and benefit plan questions.
  • Manage relationships with outside counsel, as needed.
  • Interface with Loth Holdings Owner’s as his personal legal counsel on matters impacting the company.   
Required Education and Experience
  • J.D Degree
  • Business law experience, including:
    • Corporate governance
    • Contract law including terms and conditions, master services, non-competition, confidentiality, employment and construction agreements
    • Mergers, acquisitions and divestitures
    • Insurance
    • Real estate leases
    • Loan agreements
    • Creditor’s rights
    • Capital transactions including shareholder transactions
  • Litigation management experience, including:
    • Employment matters
    • Commercial matters
  • Financial background including familiarity with:
    • Financial statements, forecasts and budgets
    • Corporate finance including loan covenant calculations
    • Capital structures and transactions
    • Company valuation principles
  • Employment and labor law including:
    • Work environment matters
    • Employee issues
    • Employee benefit matters
  • Personal financial planning including:
    • Financial planning
    • Estate and gift planning 
Competencies
  • Strong written and oral communication skills
  • Preparing and making presentations
  • Contract and litigation negotiations
