
Overview of the Function
We are seeking an outstanding Practice Resource Attorney to join the U.S. Mergers & Acquisitions team — a dynamic and talented group operating in a fast-moving environment across several Freshfields US offices. The team represents clients in the full range of M&A transactions, including public and private acquisitions, cross-border deals, joint ventures, minority investments, carve-outs, restructurings, corporate governance and shareholder activism, and more. The M&A team has grown tremendously over the past several years and has handled headline deals for strategics such as Google, AstraZeneca, Uber, and Novartis. The team also includes a growing private equity M&A practice. The Practice Resource Attorney plays an instrumental role in helping our lawyers operate more effectively and efficiently, thereby contributing to the group’s ability to continue to foster and grow relationships with our clients.
Role summary/purpose of job
The Practice Resource Attorney supports the M&A team’s knowledge management initiatives, including knowledge capture, development of internal resources (such as standard forms and templates), and maintenance of the team’s SharePoint repositories. The Practice Resource Attorney will also drive the M&A training program, including developing and expanding our existing program, working with partners and associates on training content, and identifying “hot topics” and/or other areas of importance for training purposes. The Practice Resource Attorney will deliver on-going assistance to M&A attorneys on the use of resources and encourage their general self-sufficiency and competency. The Practice Resource Attorney will also collaborate with colleagues in other GT (corporate) practices and the Head of US GT Practice Resources on cross-practice initiatives, including evaluation of legal technologies.
Key responsibilities and deliverables
- Develop and maintain forms, templates, internal guidance, and other know-how.
- Monitor developments in M&A law and practice and communicate these to the US M&A team through internal communications, development of forms and guidance materials, and training programs.
- Develop, organize and maintain internal SharePoint site, including collecting and uploading (and appropriately tagging) forms, precedents, presentations, memos, training materials and other resources.
- Work with the Head of US GT Practice Resources, other Practice Resource Attorneys, and the associate learning and development team to help design and deliver training programs for associates and summer associates.
- Draft blog posts, internal presentations, client presentations and other materials with other lawyers in the team in connection with market and legal developments.
- Assist with market research into specific transactions and industries.
- Work with the Head of US GT Practice Resources, the M&A team, and other practice support professionals to optimize current knowledge capture and management systems and tools and evaluate emerging legal technologies (including gen AI).
- Participate in relevant industry organizations and attend webinars and/or conferences to increase awareness of the latest developments as relevant to M&A practice.
- Work with the business development team to promote client and group initiatives, including client training programs, presentation materials and briefing notes.
Key requirements (Communication/skills/experience)
- 5+ years of corporate M&A experience in a large law firm.
- Excellent writing/drafting skills.
- Ability to work independently and collaboratively with various stakeholders, both attorneys and staff.
- Adaptable to changing business needs.
- A skillful listener with an open style; good at facilitating discussion.
- Good networking skills and sharing of ideas and success.
- Ability to think strategically in terms of culture and behavior, business process and technology and tools.

- An understanding of the principles of knowledge management.
- Appetite for working in a dynamic global law firm in a growing practice.
- Familiarity with the tools and vendors corporate attorneys use in their practice, including Microsoft Word, PowerPoint, Excel, and other Microsoft products; iManage; VDR vendors and document review tools (e.g., Kira); and research databases such as Deal Point Data, Practical Law, and Intelligize.
For individuals assigned and/or hired to work in New York and California or reporting to someone in those states, Freshfields is required by law to include a reasonable estimate of the compensation range for this role. This compensation range is specific to the States of New York and California and takes into account the wide range of factors that are considered in making compensation decisions including but not limited to skill sets; experience and training; licensure and certifications; and other business and organizational needs. The disclosed range estimate has not been adjusted for the applicable geographic differential associated with the location at which the position may be filled, and compensation decisions are dependent on the facts and circumstances of each case. A reasonable estimate of the current range is $275,000 to $325,000.
