Realty Income is looking to hire an AVP or VP, Senior Bankruptcy & Litigation Counsel. In this position, you will head and oversee all tenant bankruptcy filings from inception to discharge, following federal, state, and district guidelines, noting accounts with updated information and providing legal advice to relevant decision makers throughout the Company, including upper management, executives, and Company leaders. You will also support the SVP, Asst. General Counsel on litigation matters, supervise outside counsel as needed, oversee court filings, discovery, and mediations, provide legal counsel for management of the Company’s national portfolio of properties, and assist Asset Management (“AM”) and Portfolio Management (“PM”) on a broad range of legal matters. 
 
What you will work on:
Primary functions
  • Oversee all bankruptcy accounts/cases in accordance with bankruptcy codes and departmental guidelines; ensuring critical deadlines are met.
  • Review debtor plans, proof of claim, bankruptcy plan, chapters 7 and 11 schedules, motion for relief, reaffirmations, and other pertinent motions and or objections with the bankruptcy court.
  • Ensure that claims are timely filed, and appropriate actions are administered in Chapter 7 and 11 cases to ensure compliance with internal procedures, client and bankruptcy rules and regulations.
  • Work with trustees, taxing authorities, debtors’, and Company’s outside counsel to respond to or coordinate responses to claim objections and ensure timely resolution on all cases.
  • Review, analyze, and respond to legal pleading, motions, dockets as well as trustee and attorney correspondence.
  • Collaborate with and provide expertise to AM on commercial accounts and foreclosures.
  • Prepare quarterly bankruptcy reports and compile other bankruptcy statistics as required.
  • Review external bankruptcy systems and electronic court documents for resolution/status of ongoing cases.
  • Participate on creditors’ committees and attend court meetings when necessary to represent Company.
  • Collaborate with other in-house counsel and paralegals on real estate matters that are impacted by other areas of law such as Regulatory, Bankruptcy, Litigation, etc. 
  • Support the SVP, Asst. General Counsel by providing direct legal assistance, and managing outside counsel who provide legal support, for our business operations including vendor and procurement, technology/IT, marketing, social media, website platforms, licensing, and other commercial areas.
  • Support the SVP, Asst. General Counsel with litigation matters; supervising outside counsel as needed to protect corporate, real estate assets, and provide legal counsel for management of the Company’s national portfolio of properties, including assistance to Asset Management (“AM”) and Portfolio Management (“PM”) on a broad range of legal matters. 
  • Advise AM and PM teams regarding risk assessment, exposure, and strategy relating to complex transactions and/or high-stakes disputes.  
  • Advise AM and PM regarding lease compliance, interpretation of lease terms, bankruptcy strategy, resolution and work-outs, and the resolution of disputes with tenants, neighboring property owners, or third parties.  
  • Work with General Counsel and executives within the Legal Department as applicable, in the creation and revision of corporate policies and procedures and assist as necessary in the implementation of same.
  • Offer creative solutions to AM and PM when encountering defaults and/or disputes.  
  • Negotiate and draft settlement and lease termination agreements related to tenant defaults. Retain and supervise outside counsel for eviction proceedings and/or breach of lease lawsuits when necessary. 
  • Assist executives within the Legal Department in the development and enhancement of form documents for use by the Legal Department, AM, and PM groups, as applicable.
  • Develop strategies for increasing value and reducing outside legal spend while maintaining excellent legal representation and optimizing engagement practices with the Company’s outside law firms. 
  • Provide legal advice and lead cross-functional efforts to support business operations on a variety of contract, commercial, intellectual property, corporate, and privacy issues including drafting and negotiating a variety of agreements (e.g., NDAs).
  • Ensure compliance with Company policies and procedures.
 
Secondary functions 
  • General document review and drafting (e.g., letters of intent).
  • Routine advice/counsel to all departments on legal matters.
  • Manage miscellaneous and various corporate legal matters, as necessary.
  • Tenant Defaults and Workouts.
 
What we need from you: 
  • Juris Doctorate degree from an accredited law school.
  • AVP: We expect 7+ years of relevant or on-point legal experience, either in-house or with a law firm.
  • VP: We expect 10+ years of relevant or on-point legal experience, either in-house or with a law firm.
  • Significant experience in bankruptcy law, with a strong focus on representing landlords in complex Chapter 11 proceedings, lease negotiations, and restructuring matters is preferred. Expertise in protecting landlords' rights in bankruptcy cases, including lease assumption/rejection disputes, claims litigation, and post-petition rent recovery, is highly desirable.  
  • Membership in the State Bar of California or Arizona. [Note: Non-California or Arizona attorneys who otherwise meet the requisite qualifications are not necessarily ineligible to perform legal work for the Company, but, if employed in such a capacity, would be required to register with the State Bar of California or Arizona and hold the title of “Registered In-House Counsel” (versus Legal Counsel).]

AVP: The base salary for this role is in the range of $141,106 - $245,332.  
VP: The base salary for this role is in the range of $190,269 - $315,039.  
 
You may be eligible for an annual discretionary bonus and an annual discretionary stock award, (dependent on date of hire) to be discussed during the initial phone interview. Base salary and total compensation package determined by the candidate's experience, knowledge, education, skills, performance, and abilities, as well as internal equity, company performance, and alignment with market data.
