Introduction
Brief Description of Position
The Counsel, Alliance Management & Integration, Corporate Transactions, will provide legal support and counseling for a broad range of the Company’s complex transactions and strategic partnerships. This counsel role will support two functions within the Corporate Transactions team, Alliance Management & Integration and Business Development, and will have responsibilities in both areas.
Primary Responsibilities:
This role will partner closely with business development, licensing, research and alliance management functions to provide pragmatic legal counseling on a wide range of strategic relationships that drive business growth and innovation.
Advise Alliance Management and Company stakeholders on the day-to- day management of collaborations and partnerships, including by interpretating alliance agreements, providing legal guidance and mitigation strategies when disputes arise, as well as drafting and negotiating amendments as needed.
Advise on the treatment of intellectual property and confidential information within partnerships, including joint development environments.
Negotiate and draft sophisticated M&A, divestiture, licensing, collaboration and other agreements, often where no precedents exist.
Provide legal support on the integration of acquired companies.
Provide legal services, advice and guidance that is consistent with law and Company policy; further business objectives and appropriately balance divisional/ function/ corporate business objectives and legal risks.
Exercise judgment to drive decisions on routine and non-routine matters within area of practice.
Supervise activities and manage relationship with outside counsel, as needed, to support transactions and manage budget.
Some domestic and international travel may be required.
Located in New Jersey. Hybrid work arrangement in place, with minimum of three days per week in-office required
Reports to Associate Vice President of Corporate Transactions Legal.
Qualifications, Skills & Experience
Bachelor’s Degree from an accredited institution
Graduate of an accredited US law school, with admission to the Bar of New Jersey or another state
Four (4) or more years of legal experience in a major law firm and/or corporate legal department (can be combined).
Familiarity with complex transactions and drafting and interpreting sophisticated legal transactional documents.
Excellent teamwork, communication (written and oral) and counseling skills, and a high degree of business acumen.
Experience in managing a significant workload, with the ability to juggle multiple projects simultaneously.
Strong analytical skills and ability to critically assess and weigh benefits and risks.
Ability to be proactive and work independently with high level of initiative, self-motivation and intellectual curiosity
Willingness to embrace development opportunities, which may include assuming other related roles and assignments
Preferred Experience and Skills:
Experience in independently handling complex transactional matters in the pharmaceutical industry or other regulated industries
Experience in advising management on business and legal risks in specific transactions
Experience operating in ambiguous circumstances
Experience in working collaboratively with colleagues to set project plan and timelines

U.S. Hybrid Work Model

Expected US salary range:
