
Responsibilities will include:
> Advising GCM CDG, the relevant FID desks and their support functions on the legal analysis of structured transactions, including swaps secured by credit facilities across a wide array of facility types (syndicated loans, warehouse facilities, project finance, etc.).
o The attorney will play a critical role in working with external counsel on legal matters for structured transactions and articulating the legal risk view of such transactions to diverse groups within the Firm who review and signoff on these types of transactions, including the relevant trading desk, the XVA desk, the Credit Department, Finance and Operations.
> Advising the desks on U.S. legal and regulatory matters, including the Dodd Frank Act, securities law and bankruptcy law.
o This includes providing legal advice as to how such laws, rules and regulations should be interpreted and liaising with external counsel, where appropriate, in order to reach a legal conclusion.
> Working closely with the business to provide legal advice, along with internal legal and compliance professionals and external counsel, on transactions, including potential trade ideas, development of new products or transactions, live trading issues, and counterparty risk matters (including counterparty defaults and closeouts of swaps).
o This includes drafting and negotiating contracts related to such transactions and reviewing and commenting on drafts prepared by external counsel, in order to ensure that such contracts reflect the legal and economic terms that have been agreed.
> Working closely with the business, front office risk management and compliance as the legal advisor on governance, legal and regulatory policies and procedures, and the development and implementation of risk control frameworks.
> Participating in industry working groups focused on legal matters impacting these asset classes, including ISDA interest rate, foreign exchange and other industry documentation working groups. > Candidate should be a trained lawyer with at least 7 years of experience in bank finance, financial services or corporate law with proficiency in derivatives and a general understanding of securities laws.
> Candidates should be willing to work collaboratively with the business and different functional groups in a fast-paced environment with ever-changing demands that arise from market conditions and client needs. Candidates should also be able to work on multiple matters, often in parallel, and be inquisitive and think strategically about legal issues, and analyze and evaluate potential risks and mitigation alternatives from a legal, regulatory and franchise perspective.
Salary will be competitive and level will be Executive Director.
