Technology Contracts and Legal Operations Specialist
360training is seeking an experienced Technology Contracts and Legal Operations Specialist to support the review, negotiation, administration, and ongoing management of commercial agreements, with a primary focus on technology and vendor contracts. Reporting to the Vice President, General Counsel, this role will work closely with Technology and other business teams to identify contractual risks, improve contract workflows, and monitor key terms and deadlines throughout the vendor lifecycle.

The ideal candidate combines strong contract review and issue-spotting skills with disciplined follow-through after signature. This person will independently manage routine matters using approved playbooks, coordinate operational contract requirements with business owners, and escalate nonstandard terms and material risks to the General Counsel.

Key Responsibilities:
Contract Review and Negotiation Support
  • Review and support the negotiation of non-disclosure agreements, SaaS agreements, software license agreements, technology services agreements, MSAs, and SOWs.
  • Generate and revise contract language using approved templates, clause libraries, and negotiation playbooks.
  • Identify and escalate nonstandard legal, commercial, operational, privacy, security, and intellectual property risks.
  • Support compliance with company contracting policies, approval requirements, and established risk tolerances.
Contract Risk and Issue Identification:
  • Review contractual provisions involving limitation of liability, indemnification, intellectual property ownership, licensing, confidentiality, data privacy and security, warranties and disclaimers, insurance, service levels, term, renewal, and termination rights.
  • Summarize material contract terms, open issues, and business obligations in clear, practical language for the General Counsel and applicable business owners.
  • Escalate material risks, unresolved deviations, and matters requiring legal judgment or final approval.
Contract Operations and Vendor Lifecycle Support
  • Manage contract workflow from intake through review, approval, execution, storage, renewal, and termination.
  • Maintain complete and organized contract records, status reporting, and reliable contract data within Company’s SharePoint site.
  • Track and proactively communicate vendor renewals, notice periods, pricing changes, cancellation deadlines, and other time-sensitive contractual requirements to Technology and applicable business owners.
  • Coordinate renewal reviews early enough for business owners to evaluate vendor performance, competitive alternatives, replacement options, consolidation opportunities, and potential renegotiation before renewal deadlines.
  • Review SOWs for operational completeness, including scope, deliverables, milestones, acceptance criteria, change-control procedures, rate structures, and not-to-exceed limits.
  • Coordinate contractual and documentation requirements for vendor offboarding, including required notices, access removal, data return or deletion, knowledge transfer, documentation delivery, and final invoice reconciliation.
Cross Functional Partnership
  • Coordinate with Procurement, Information Security, Finance, Sales, Product, and Operations to collect requirements, route reviews, resolve routine questions, and keep contract matters moving.
  • Help internal stakeholders understand contractual requirements, deadlines, dependencies, and approved company positions.
  • Identify opportunities to improve templates, playbooks, intake processes, contract reporting, and vendor-lifecycle controls.
Required Qualifications
  • Bachelor's degree, paralegal certificate, or equivalent combination of education and relevant experience.
  • 3+ of experience reviewing, administering, or supporting the negotiation of commercial contracts in a corporate legal department, law firm, technology company, or similar environment.
  • Practical experience with software, SaaS, cloud services, technology services, licensing, vendor, and confidentiality agreements.
  • Strong understanding of common commercial contract provisions and the ability to identify issues that require escalation.
  • Demonstrated ability to manage a high volume of agreements, deadlines, renewals, and competing priorities with accuracy and consistent follow-through.
  • Strong written and verbal communication skills, sound judgment, and the ability to work effectively with legal, technical, financial, and operational stakeholders.
  • Proficiency with Microsoft Office and SharePoint.
Preferred Qualifications
  • Experience supporting a SaaS provider, technology company, online services company, or technology procurement function.
  • Experience tracking vendor renewals, contractual obligations, SOWs, invoice requirements, and vendor offboarding activities.
  • Familiarity with data protection and privacy frameworks.
  • Experience developing or working from contract templates, clause libraries, approval matrices, and negotiation playbooks
Key Capabilities
  • Contract review and issue spotting
  • Technology and software licensing knowledge
  • Contract workflow and obligation management
  • Vendor lifecycle coordination
  • Attention to detail and disciplined follow-through
  • Practical problem solving and business partnership
  • Clear escalation and stakeholder communication
Measures of Success
  • Contract requests are processed within a timely manner, with clear status visibility for stakeholders.
  • Material risks and non-standard terms are identified and escalated accurately and consistently.
  • Approved templates, playbooks, and contracting standards are applied consistently.
  • Renewals, notice windows, obligations, and offboarding requirements are communicated early enough to support informed business decisions and operational excellence.
  • Contract records, key terms, deadlines, and reporting remain complete, accurate, and current.
  • Technology and other business partners receive practical, responsive support without compromising required legal review or approvals.
