Job Title: Commercial Contract Attorney
Job Summary:
We are seeking an experienced Commercial Contract Attorney to support and accelerate our commercial contracting function. This role is responsible for drafting, reviewing, and negotiating a wide range of sales-related agreements specific to healthcare technology and RCM solutions. The attorney will be a strategic partner to Sales, Finance, Compliance, and Operations, ensuring all agreements balance legal risk with business objectives while maintaining compliance with healthcare and data privacy regulations.
This role is ideal for an attorney who thrives at the intersection of software delivery, revenue cycle operations, and SaaS technology. As a key advisor to Sales leadership, you will shape strategic deals that support revenue goals, accelerate contracting efficiency, and protect the organization within a complex regulatory landscape.
Essential Functions:
- Draft, review, and negotiate a high volume of commercial agreements including SaaS agreements, MSAs, licensing agreements, Business Associate Agreements (BAAs), services agreements, statements of work, NDAs, amendments, data security addendums, and other revenue-generating contracts.
- Serve as the primary legal partner to the Sales and Sales Operations teams supporting deals across healthcare providers, payers, revenue cycle organizations, and enterprise health systems.
- Ensure all agreements are compliant with FDCPA, GLBA, HIPAA/HITECH, healthcare regulatory frameworks, and state-specific privacy laws.
- Advise on contract structure, terms, risks, and negotiation strategy to drive timely deal closure and support revenue growth.
- Collaborate cross-functionally with Compliance, InfoSec, Product, Finance, and Operations to validate terms related to data usage, PHI handling, service delivery, performance obligations, SLAs, and pricing.
- Support RFP/RFI processes by reviewing legal, compliance, data privacy, and security requirements.
- Maintain contract templates, playbooks, fallback positions, clause libraries, and negotiation guidelines.
- Conduct legal research related to debt collection regulations, healthcare regulations, data privacy, and emerging SaaS policies impacting commercial agreements.
- Recommend and implement continuous improvements in contracting workflows to reduce cycle times and enhance efficiency.
- Provide training and practical guidance to internal teams on contracting protocols, healthcare compliance, FDCPA compliance and regulatory obligations related to, PHI, SaaS deployment, and operations.
Minimum Requirements:
Specific Job Skills:
- Juris Doctor (JD) from an accredited law school; active license to practice law in the U.S.
- 5+ years of legal experience with substantial work in healthcare, revenue cycle management, SaaS, or health IT.
- Proven track record drafting and negotiating sales agreements in a healthcare technology or RCM services environment.
- Strong understanding of HIPAA, data privacy/security regulations (including PHI handling), and healthcare compliance frameworks.
- Experience working directly with Sales teams and supporting enterprise-level contracting cycles.
- Ability to translate complex legal concepts into clear, actionable business guidance.
- Excellent communication, negotiation, and issue-spotting skills.
Preferred Qualifications:
- In-house legal experience supporting healthcare SaaS or RCM services contracts.
- Law firm experience
- Experience negotiating enterprise SaaS terms such as SLAs, uptime, data retention, security obligations, and integration requirements.
- Familiarity with provider and payer environments, including eligibility, authorizations, claims, billing workflows, and revenue cycle operations.
- Experience with contract lifecycle management (CLM) systems (e.g., Apttus, Conga, SalesForce).
