POSITION SUMMARY:

We are seeking a motivated and experienced Manager, Legal Counsel to join our in-house legal team. This role will be responsible for supporting the company’s contracting processes, including the review, negotiation, and execution of a wide range of commercial agreements. Additionally, the position will provide strategic and operational support to the litigation team on active and potential legal matters.

MAJOR RESPONSIBILITIES/ESSENTIAL FUNCTIONS:   

Contracting & Commercial Support

• Draft, review, and negotiate a variety of contracts including vendor agreements, NDAs, service agreements, and technology-related contracts

• Collaborate with internal stakeholders to ensure contracts align with business objectives and legal risk tolerance

• Develop and maintain contract templates, playbooks, and process improvements to streamline legal operations

• Provide training and guidance to business teams on contract policies and procedures

Litigation Support

• Assist in managing litigation matters, including coordinating with outside counsel, gathering internal documentation, supporting discovery efforts, and attending hearings, depositions, and meditations

• Evaluate claims, prepare case assessments, and advise on potential exposure and settlement strategy

• Draft and negotiate settlement agreements, severance agreements, and related documentation

• Support internal investigations and dispute resolution efforts

• Help maintain litigation databases and case tracking systems

POSITION QUALIFICATIONS:

• Juris Doctor (JD) from an accredited law school and admission to practice law in Ohio or at least one other state, with an ability to become licensed in Ohio

• 2+ years of legal experience

• Experience in contract negotiation and commercial transactions

• Exposure to litigation management and dispute resolution.  Experience with employment litigation is a plus

• Excellent communication, organizational, and analytical skills

• Ability to work independently and manage multiple priorities in a fast-paced environment
