Compensation: $80,000 – $100,000 base salary + discretionary bonus

Position Summary
The Transactional Paralegal will play a key role in supporting a busy in-house legal team with a focus on commercial real estate and corporate transactions. Reporting directly to the Associate General Counsel, this individual will manage all phases of transactions from inception to closing while assisting with title review, due diligence, and documentation. The role also includes support for corporate governance, securities filings, and compliance tracking. This position requires strong attention to detail, exceptional organizational skills, and a collaborative mindset to align with a tight-knit legal team that values professionalism, precision, and teamwork.
What You’ll Do
- Manage all phases of real estate and corporate transactions from inception to closing
- Coordinate due diligence materials, review title commitments, and prepare closing packages including deeds, affidavits, and conveyance documents
- Draft and review lease amendments, estoppels, and SNDAs
- Maintain transaction checklists, due diligence logs, and post-closing follow-ups
- Prepare corporate resolutions, consents, and maintain accurate entity records
- Assist with annual filings and compliance tracking
- Prepare Form D and Blue Sky filings; assist with investor communications and private equity offerings
- Draft offering memoranda and related documentation
- Maintain organized legal files (electronic and hard copy)
- Coordinate with outside counsel and monitor billing activity
What You'll Bring
- 5+ years of paralegal experience with a focus on real estate and corporate transactions
- Bachelor’s degree or equivalent experience required
- Strong attention to detail and ability to manage multiple active deals
- Proficiency in Microsoft Office Suite and Adobe Acrobat
- Excellent written and verbal communication skills
- Ability to work onsite in Clifton, NJ four days per week — no exceptions
Preferred Qualifications
- Experience with REIT, DST, or non-traded securities offerings
- Familiarity with SEC compliance and Registered Investment Adviser filings
- Exposure to private equity or real estate investment environments
- Strong interpersonal skills and ability to thrive in a collaborative team setting
