Position Description

The Associate Counsel – Corporate Transactions will assist the General Counsel and Associate General Counsel in all aspects of their responsibilities in providing advice and counsel to Crown family members and to CCI and its affiliates, their respective boards of directors, managers, officers and employees on all legal matters.  

Responsibilities

  • Work closely on a day-to-day basis with CCI Vice Presidents and managers of finance, human resources, information technology, risk management, mergers and acquisitions and strategic sourcing
  • Proactively work with operating company management to provide support, anticipate legal risks and identify solutions and strategies
  • Keep abreast of legislative changes that may affect CCI and its affiliated operating companies
  • Develop and maintain policies on industry-specific issues, corporate governance and regulatory affairs
  • Draft and counsel on general commercial contracts including, sales, supply chain, distribution, dealer, and service
  • Manage outside counsel
  • Draft and negotiate acquisition documents and ancillary documents including purchase and sale agreements, confidentiality agreements, etc.
  • Perform due diligence in connection with mergers and acquisitions
  • Prepare periodic status reports for the General Counsel and the Associate General Counsel
  • Review company policies and procedures and recommend changes, as required
  • Identify, develop and lead special projects, for example, developing standardized forms, policies and procedures for operating companies
  • Monitor and advise on relevant emerging technologies, including AI
  • Assist Crown family members with investment documents

 

Qualifications

  • Education: Juris Doctor
  • Law license in the State of Illinois 
  • Minimum of 5 years of legal experience 
  • Ability to communicate effectively orally and in writing.
  • Ability to learn new substantive legal topics and factual subject matters as needed based on the nature of a matter.
  • Ability to work effectively under pressure and to meet deadlines.
  • Strong organization and matter management skills.
  • Understanding of and ability to apply attorney ethics rules.
  • Ability to work professionally and effectively with internal and external professionals.
  • Ability to work effectively with others as part of a team.
  • Clear and effective drafting skills.
  • Strong contract negotiating skills
