- This position pays between $150,000 - $200,000 depending on experience

Under the direction of the Associate GC - Procurement, the Legal Counsel II - Contracts will provide legal support for procurement agreements with vendors, and legal support of M&A and joint venture transactions, as well as other duties as assigned. This position will primarily collaborate and interact with the Company’s vendor management, finance, operations, IT functions, internal and external counsel, as well as the Company’s vendor’s counsel. The Legal Counsel II – Contracts will be business savvy, can apply legal advice and analysis to real-world problems, and will assist Ensemble business leaders in finding solutions to issues presented.

- Provides in-house legal counsel on procurement/vendor agreements, acquisitions, divestitures, joint ventures, equity investments, and generally assists the legal department as needed.
- Ensures compliance with all applicable laws, regulations and policies.
- Participates in and influences the decision-making process with appropriate internal clients and stakeholders.
- Identifies and assesses legal risks and opportunities and can think creatively while providing practical and pragmatic advice and solutions.
- Independently handles and leads multiple complex transactions and legal matters in projects ranging from basic to complex in a fast paced, energetic and rapidly growing company.
- Negotiates, drafts and reviews complex contracts and documents.
- Recognizes when to elevate certain matters to the attention of the Associate GC or Chief Legal Officer.
- Educates clients and stakeholders on legal matters and risk mitigation.
- Establishes and maintains relationships, credibility and trust with clients, stakeholders, legal team members and other colleagues.
- Drives improvements in contracting processes and execution.
- Knowledge of law in areas related to contracts.
- Work in conjunction with the Legal Department to address general legal needs of Ensemble.
Experience We Love:
- 5-7 years of job experience
- High-performing attorney; ability to manage full workload in a fast-paced environment.
- Good communication (oral and written) and interpersonal skills within and across departments and externally; must be proactive in providing counsel to clients.
- Sound judgment, ability to clearly make reasoned recommendations, and ability to cross-think and determine who should be kept informed.
- Self-starter with good business sense and a sense of urgency, honesty and fairness.
- Team player, calm under pressure.
- Must have a valid, active license to practice law in the United States.
- Self-confident and inspires confidence from company leadership and internal clients.
- Have five to seven years of substantive experience with a corporate legal department or a nationally recognized law firm. Healthcare law experience preferred.
- Prefer candidate with experience in counseling clients on outsourcing and commercial agreement and transaction matters.
- Committed to being a legal business partner to internal clients.
- Strong drafting and contracting skills required.
Required Education:
- Juris Doctor (JD) from an accredited law school
