Job Description

We’re looking for an Associate General Counsel who will serve as a trusted advisor to business leaders across the business. This role focuses on structuring, drafting, reviewing, and negotiating complex commercial agreements and enabling the business to execute strategic initiatives with clear, practical, risk‑balanced legal guidance.
The AGC will support the full lifecycle of key commercial activities from early scoping and procurement through execution, performance management, and ongoing operational support. The successful candidate will combine strong commercial contracting skills with sound judgment, business acumen, and the ability to collaborate across a diverse, matrixed organization.
 
What You’ll Do:
  • Draft, review, and negotiate a broad range of complex commercial agreements, including major procurement agreements, services agreements, operational support contracts, and other strategic transactions.
  • Conduct transactional risk assessments and implement mitigation strategies aligned with corporate risk tolerances and business objectives.
  • Ensure contract structures and commitments align with internal approvals, governance processes, and long‑term strategic goals.
  • Provide guidance on labor‑related issues within unionized environments, including interpreting collective bargaining agreements, advising on union‑related contract provisions, and collaborating with labor relations teams to ensure compliance with negotiated obligations.
  • Advise business leaders on contract interpretation, performance issues, change management, disputes, claims, warranties, and remedies.
  • Partner closely with commercial operations, sales, supply chain, engineering, project management, finance, tax, operations, and asset management teams.
  • Monitor and advise on relevant laws, regulations, policies, and industry standards affecting commercial and operational activities.
  • Provide internal training and guidance on risk awareness, contracting best practices, and compliance expectations.
  • Build and maintain strong, trusted relationships with both internal stakeholders and external partners.
  • Communicate material risks, recommended actions, and strategic considerations clearly and effectively to executive and project leadership.
  • Uphold high standards of ethics, integrity, compliance, confidentiality, and team collaboration.
Additional Requirements:
  • 4–7 years of legal experience, gained in a law firm or through a combination of firm and in‑house roles.
  • Demonstrated experience drafting, negotiating, and managing complex commercial agreements.
  • Experience supporting commercial, operational, or contracting activities within unionized workforces, with an ability to navigate collective bargaining agreements and union‑management dynamics.
  • Strong analytical and business‑judgment skills with the ability to translate legal requirements into clear tactical guidance.
  • Excellent communication skills and the ability to work cross‑functionally in a collaborative, fast‑paced environment.
  • Bar admission in any U.S. state.
  • Preferred: Experience in construction, engineering, infrastructure, energy, or professional services environments.
  • Ability to travel up to 30% throughout the continental USA, reflecting flexibility and commitment to project needs.
  • Ability to pass a stringent drug screening and background check, ensuring compliance with organizational standards and policies.
  • Hold a valid and current driver's license.
