ASSISTANT GENERAL COUNSEL

The Assistant General Counsel is responsible for handling a broad range of legal issues as assigned by and under the direction of the General Counsel. The Assistant General Counsel will provide direct, ongoing support to the General Counsel. The incumbent will have the authority to perform day-to-day operations while ensuring the appropriate supervisor(s)/senior leadership stay abreast of issues.

 

 Experience with and interest in contract law, drafting, analysis and interpretation as well as regulatory compliance experience and interest are preferred.

 

Essential Duties of the Position      

  • Assist General Counsel in all areas as needed
  • Contract drafting, review, analysis, and interpretation
  • Strategic and creative problem solving independently and as a part of a cross-functional team
  • Assist with employment and labor matters both state and federal
  • Interpretation, analysis, and application of regulations and statutes including the Federal Acquisition Regulations (FAR), Defense Federal Acquisition Regulations Supplement (DFARS), Code of Federal Regulations, and United States Code
  • International issues including, but not limited to, assistance with research on international entity set-up and maintenance and export compliance as well as functional support for these areas as needed
  • Litigation and dispute resolution assistance
  • Compliance issues, research and analysis across a variety of areas and jurisdictions
  • Must have the ability to apply knowledge and skills and confer with General Counsel and Senior Management to develop and execute solutions. Must be proficient in basic computer usage, including internet research, Outlook e-mail and Microsoft Office.
  • Additional duties include being a liaison with corporate functional departments and external vendors and customers to support operational needs of the company. The Assistant General Counsel will have excellent communication and organization skills with a strong attention to detail. They must ensure appropriate senior management/leadership stays abreast of issues.
  • Other duties as assigned

 

Key Responsibilities and Tasks:

Including, but not limited to –

  • Thoroughly research and brief topics and issues relevant to company operations as assigned. Areas covered may include, but are not limited to, federal government contracting regulations and laws, labor and employment, and international compliance.
  • Monitor updates in applicable laws and regulations that could affect DRG’s operations.
  • Effectively identify and communicate potential risks/barriers to company goals while assisting with solutions to mitigate risks and minimize barriers.
  • Interface and negotiate with vendors regarding terms and conditions of purchase orders and subcontracts.
  • Review contracts of various types and provide redline recommendations and/or brief concerns and risks to leadership as appropriate. Provide solutioning for mitigation of identified risks and concerns.
  • Assist with tracking of data, reporting, and upkeep of databases relevant to the legal team as needed.

Qualifications:

  • Juris Doctor and 0-5 years of relevant experience. Law students preparing to take the bar or awaiting bar results may be considered.
  • For any candidate who does not yet have a JD and/or is not licensed to practice law, the job title would change to Legal Intern until they obtain their JD and are licensed to practice law in the State of Oklahoma.
  • Experience as a part of a corporate legal team is preferred, but not required.
  • Familiarity with FAR and DFARS and experience interpreting complex regulatory requirements.
  • Excellent research and organizational skills.
  • Excellent listening, interpersonal, written, and verbal communication skills.
  • Great analytical, critical thinking and creative problem-solving abilities.
  • Strong adaptability and capacity to work in a fast-paced environment.
  • Logical and efficient, with keen attention to detail.
  • Highly self-motivated and directed.
  • Experience working in a team-oriented, collaborative environment.
  • In-depth understanding of organizational data flow and its use in management decision making.
  • Must be proficient in Microsoft Office products. 
  • Preferred – experience/familiarity with the federal procurement process.
