Position Overview:
The Sr. Counsel, Corporate Securities will serve as a key legal advisor, providing strategic legal support across our global entities. This role will work closely with the finance, tax, treasury, and accounting teams to oversee corporate governance, public company reporting, and securities compliance. The Senior Counsel will lead and manage complex corporate transactions, ensuring legal and regulatory compliance while driving operational excellence. This position requires a highly skilled legal professional with extensive experience in corporate securities and transactional law, strong leadership capabilities, and the ability to provide strategic guidance to senior leadership.
Key Responsibilities & Qualifications:
Corporate Governance & Board Support:
Lead the preparation and review of board and committee materials, ensuring adherence to corporate governance best practices and applicable legal requirements.
Manage governance policies, corporate entity records, and board resolutions.
Provide strategic guidance to leadership on corporate governance matters and emerging legal trends.
Corporate Entity & Compliance Management:
Oversee global corporate entity compliance, ensuring timely and accurate regulatory filings.
Advise on corporate restructuring initiatives, including mergers, dissolutions, and intercompany transactions.
Finance and Treasury Support:
Provide legal oversight for corporate financing activities, including amendments to credit facilities, issuance and redemption of corporate bonds, and internal financing arrangements.
Partner with finance and treasury teams to ensure compliance with securities laws and regulatory frameworks.
Corporate Development & Transactional Support:
Lead legal due diligence efforts and provide strategic advice on mergers, acquisitions, investments, and other corporate transactions.
Draft, review, and negotiate transaction agreements, financing documents, and other corporate legal instruments.
Collaborate with cross-functional teams to ensure seamless post-transaction integration.
Securities Law Compliance & Public Company Reporting:
Manage the preparation and filing of securities reports, including 10-Ks, 10-Qs, 8-Ks, Section 16 filings, and proxy statements.
Advise on compliance with SEC regulations, NYSE/NASDAQ listing standards, and other applicable securities laws.
Monitor regulatory developments and implement best practices in securities compliance.
Education & Experience:
JD from an accredited law school
Minimum 10 years of relevant legal experience, with a strong focus on corporate securities and transactional law
Experience in a top-tier law firm and/or in-house legal department of a public company preferred
Skills & Competencies:
Expertise in corporate governance, securities laws, and public company reporting
Strong transactional experience, including drafting and negotiating complex agreements
Strategic mindset with the ability to provide high-level legal counsel to senior executives
Excellent judgment, analytical, and problem-solving skills in high-stakes situations
Ability to influence and collaborate with cross-functional teams and executive leadership
Highly organized, proactive, and able to manage multiple projects under tight deadlines
