Reporting to the VP and General Counsel, the Senior Legal Counsel will provide general legal advice and services to help guide Virbac North America’s day-to-day business decisions and help ensure effective management of legal and contractual risks. This individual will also coordinate management and administration of intellectual property matters with the VP & General Counsel and the Virbac Group Intellectual Property teams. The Senior Legal Counsel will draft, review, and negotiate transactional and other legal documentation, including supply and distribution agreements, other contracts, letters, and related documents. The Legal Department responsible for North America consists of the VP & General Counsel, and the Senior Legal Counsel.

Key Responsibilities:

Provide Management with General Legal Advice:

  • Advise management on a broad variety of matters requiring legal guidance.
  • Draft, review, and negotiate transactional and other legal documentation, including, supply and distribution agreements, other contracts, letters, and related documents.
  • Work with the Company’s procurement and business teams to draft and negotiate contracts which consistently protect the Company’s interests.
  • Manage legal contracts and advise management on matters such as termination, renewal, notices, etc.; assist with and train on contract review and signature policies.
  • Oversee and manage or assist in oversight and management of claims and litigation.

Practice Preventive Law:

  • Provide legal advice, draft and revise policies, and conduct training in areas requiring legal guidance or risk management such as competition law, regulatory compliance, environmental law, insurance, trademarks, IT/AI, contract negotiation, privacy, and labor/employment.
  • Review and provide legal advice to ensure that training, marketing, and promotional materials comply with applicable law, codes, policies, and standards.
  • Monitor existing law, legal precedent, and pending legislation to identify potential risks and opportunities.
  • Collaborate with Virbac’s global legal team on best practices for multinational issues, policies, and agreements.

Intellectual Property:

  • Coordinate management and administration of intellectual property matters with the VP & General Counsel and the Virbac Group Intellectual Property teams.
  • Provide advice on and maintain guidelines for the use of trademarks and patents in product packaging, promotional materials, and social media.

Qualifications

  • Law degree from an accredited US law school with active bar membership in at least one US state.
  • A minimum of 5 years practicing as a lawyer.
  • Prior relevant, broad-based experience, including commercial experience, in a law firm and/or in-house legal position.
  • Experience with a regulated industry (especially pharmaceutical) is a plus; experience in the animal health sector is ideal but not required.
  • International legal work experience is a plus.
  • Foreign language knowledge, especially French, is a plus.

  • Help ensure the Company is protected regarding legal risks it takes and that procedures are put in place to manage those risks.
  • Help ensure that legal risks to the Company are identified and mitigated through sound legal advice, policies, and training.
  • Help ensure the Company’s intellectual property remains appropriately protected consistent with the Company’s policies and procedures.

  • Basic computer skills; fluency in English required; knowledge of French would be a plus.
