RenaissanceRe’s Legal, Regulatory and Compliance team operates as a global function providing service, support and advice to advance our business goals and strategy. The team serves an important role in helping meet legal, reporting, regulatory and compliance obligations and managing risks across each of our operating jurisdictions. This function is an essential enabler in preserving and enhancing our reputation for integrity.
About the Position
Reporting directly to the VP, Legal Counsel – Corporate & Securities, the AVP, Legal Counsel – Corporate & Securities will provide support for the holding company corporate legal work, including public company reporting, finance, treasury (including credit facility compliance), corporate governance, sustainability, investor relations, marketing and communications.
The AVP, Legal Counsel – Corporate & Securities role is based in the New York office (and there may be select travel, primarily to the Bermuda office).
Key Relationships
- Reports to: Legal Regulatory & Compliance (“LR&C“)
- Key Stakeholders: LR&C, Finance, Accounting, Treasury, Investor Relations, Communications, Marketing, Internal Audit, Sustainability, and Investments
Key Responsibilities:
- Public Company Reporting and Governance
- Assist with the preparation and review of SEC filings including 10-Qs, 10-Ks, 8-K, Section 16 and proxy statement, including research related projects;
- Compliance with securities laws and NYSE rules and regulations (including preparation of annual affirmations and other required filings);
- Assist with the Disclosure Committee process, including internal due diligence;
- Liaise with Finance and Accounting to ensure holding company-wide compliance and disclosure;
- Support investor relations and marketing in the review and preparation of press releases, investor presentations, marketing materials, website and other public disclosures, ensuring compliance with securities laws;
- Assist with disclosures and requests related to sustainability matters;
- Review and assist with preparation of group regulatory filings for regulators in Bermuda, Switzerland, the U.K. and other jurisdictions to support global footprint;
- Assist with shareholder engagement and registrar and transfer agent matters; and
- Support group-wide engagement with independent external auditors.
- Treasury and General Corporate
- Assist with the negotiation of new credit facilities or amendments to existing credit facilities and ensuring credit facility compliance;
- Assist with capital markets transactions, including debt and equity raises; administration of share repurchase program and other treasury matters;
- Assist with M&A or other strategic transactions, as applicable;
- Support group intercompany capital and lending transactions; and
- Assist with other general corporate matters, as applicable.
Candidate Qualifications:
- At least 2 to 4 years relevant securities and general corporate law experience at a top law firm or legal or corporate secretarial department of a U.S. public company.
- Detailed knowledge and understanding of federal securities laws, including the Securities Act of 1933 and the Securities and Exchange Act of 1934, Regulation FD, Regulation G, and NYSE listing manual.
- Substantial experience drafting Forms 10-Q, 10-K, 8-K, and proxy statements.
- Experience with bank financing matters a plus.
- Strong verbal and written communications skills; excellent attention to detail.
- Top academic credentials.
- Proficiency with Microsoft Office; experience with WDesk and Intelligize a plus.

The fulltime base salary range for this position is $180,000 - $200,000 USD per year; base salary offered may vary based on job-related knowledge skills, and experience. The position is eligible for bonus and a comprehensive benefits package. This information is provided per the New York City Human Rights Law and applies to positions in New York City.
