JOB TITLE: Associate General Counsel – Corporate Securities & Capital Markets
DEPARTMENT: Legal
FLSA STATUS: Exempt
LOCATION: Hawthorne, California or Dallas/Fort Worth, Texas
The Associate General Counsel will serve as a senior member of the legal team supporting the company’s securities law compliance, capital markets transactions, corporate governance and strategic M&A activity. This role partners closely with the General Counsel, Finance and Investor Relations teams to ensure compliance with U.S. securities laws and stock exchange requirements while advancing the company’s strategic and operational goals.
Key Responsibilities:
Corporate & Securities Compliance
- Manage the company’s compliance with securities laws, including the Securities Act of 1933, Securities Exchange Act of 1934, Sarbanes-Oxley Act and NYSE listing standards.
- Prepare, review, and file SEC reports and disclosure documents, including Forms 10-K, 10-Q, 8-K, proxy statements, and registration statements.
- Oversee Section 16 reporting (Forms 3, 4, and 5) and assist with insider trading compliance, Regulation FD, and disclosure controls and procedures.
- Support preparation of annual and quarterly earnings materials, press releases, investor presentations, and other public communications.
- Monitor evolving SEC regulations and governance trends, advising management and the Board on potential impacts.
Capital Markets & Financing Transactions
- Lead and manage securities offerings and financing transactions, including public offerings, shelf takedowns, equity line of credit / at-the-market (ATM) programs, and private placements.
- Advise on credit facilities, convertible debt, and other capital structure initiatives.
- Partner with underwriters, transfer agents, and external counsel on transaction execution and disclosure.
Corporate Governance
- Support the Board of Directors and its committees, including preparing materials, drafting minutes, maintaining corporate records, and advising on governance best practices.
- Maintain and update corporate policies, governance documents, and charters.
- Coordinate annual stockholder meetings and related filings and logistics.
- Oversee management of corporate subsidiaries, resolutions, and intercompany agreements.
Mergers & Acquisitions
- Support strategic transactions, including acquisitions, divestitures, joint ventures and strategic investments.
- Lead legal due diligence, negotiation of transaction documents, and coordination of closing and post-closing integration.
- Advise on disclosure and reporting obligations related to M&A activity.
Cross-Functional & Strategic Support
- Advise senior management and functional leaders on securities law, capital markets, governance, and disclosure matters.
- Partner with Finance, HR, and Investor Relations on equity compensation, 10b5-1 plans, and disclosure planning.
- Manage outside counsel and control legal budgets for corporate and transactional matters.
Qualifications
- J.D. from an accredited law school; admitted to practice and in good standing in at least one U.S. jurisdiction.
- 8–12 years of experience in corporate and securities law, including significant time at a top law firm and/or in-house at a U.S. public company.
- In-depth understanding of U.S. securities laws, SEC reporting, and corporate governance requirements applicable to public companies.
- Proven experience leading capital markets and M&A transactions.
- Excellent judgment, drafting, negotiation, and communication skills.
- Ability to balance legal risk with practical business judgment and to operate effectively in a fast-paced environment.

Miscellaneous Requirements:
- Must be able to pass a 10-year background check as required by airline regulations and company policies.
- Must be at least 18 years old.
- Must be authorized to work in the U.S. per the Immigration Act of 1968.
- Fluency in English.
- Valid driver’s license and reliable transportation.
- Computer, office equipment, phone skills.
- Ability to work within a 24/7 operation, including holidays.
