Responsibilities
- Prepare and negotiate side letters, subscription agreements and other ancillary documents for commingled funds (e.g., LPA amendments, PPM supplements, investment management agreements, guarantees)
- Assist with preparation and negotiation of fund offering documents, including private placement memoranda, limited partnership agreements and distribution agreements
- Negotiate third party trading agreements (e.g., prime brokerage agreements, ISDAs)
- Negotiate fund credit facilities
- Prepare amendments to fund documents and supervise consent solicitations
- Coordinate with and advise other departments regarding operational implications of governing documents
- Review marketing and client reporting materials in coordination with the Compliance Department, including RFPs, webcasts, brochures and one-off requests
- Qualify funds to trade in applicable non-U.S. jurisdictions
- Monitor and address regulatory developments on a global basis
- Participation in cross-departmental initiatives to implement new firm-wide procedures
- Provide transaction support, including reviewing deal documentation and term sheets, assisting with transaction structuring, assisting with HSR and other regulatory filings, preparing Sections 13 and 16 filings, negotiating fund guarantees and restructurings, reviewing transaction documents, and assisting with deal-related trade support and compliance issues
- Provide litigation support, including assistance with preparation of pleadings and other litigation materials, interactions with investment teams, law firms, insurance carriers, and other internal and external parties
- Assisting client services in addressing legal questions that are received from current fund investors
- Oversee confidentiality agreement review process
- Supervise outside counsel and Oaktree legal assistants and paralegals in connection with the above and other similar assignments
Qualifications
- 2-4 years transactional legal experience with a top law firm and/or within the financial services or asset management industry;
- Fund formation experience is a plus;
- Strong history of exercising good business judgment; and
- Proficiency in Microsoft Office products including Word, Outlook and Excel, as well as other business software

Education
- Law degree from a top university is required.
- Must be a licensed attorney in the State of California (or other jurisdiction and prepared to sit for California bar exam if necessary).
Base Salary Range
$200,00- $225,000
In addition to a competitive base salary, you will be eligible to receive discretionary bonus incentives, a comprehensive benefits package and a flexible work arrangement. The base salary offered will be commensurate with experience and/or qualifications, industry knowledge and expertise, as well as prior training and education.
