This role is responsible for corporate and administrative functions including entity formation, corporate governance, preparation of filings for government agencies, documentation for annual meetings and contract review. Provide oversight and guidance on corporate governance matters, KYC inquiries, vendor management and integration.ESSENTIAL JOB DUTIES AND RESPONSIBILITIES
- Assists attorneys with the reviewing, drafting, and negotiating producer agreements, brokerage agreements, program agreements, and claims handling agreements.
- Assists attorneys with reviewing nondisclosure / confidentiality agreements.
- Assists attorneys with reviewing vendor agreements, including IT agreements, agreements with various benefit providers, and other service contracts related to the MGA businesses.
- Conducts legal research on a variety of corporate matters, including insurance licensing regulations and requirements.
- Track contract deadlines, renewals, and compliance obligations, including annual renewals and COIs for corporate entities.
- Support the legal team in responding to regulatory inquiries and audits.
- Manages invoices for the legal team, including obtaining payment approvals and working with finance to ensure timely payment of invoices.
- Maintain contract legal team contract repository
- Manages internal relationships with third party service providers.
- Assists with special projects as needed.
- Other duties as assigned.
BASIC AND PREFERRED QUALIFICATIONS (EDUCATION AND EXPERIENCE)
• 3+ years of experience in a legal or insurance environment, with a focus on contracts (Required)
• BA/BS degree or equivalent (Required)
• Superior MS Office proficiency - Word, Excel and PowerPoint (Required)
• Excellent written and verbal communication skills (Required)
• Proficient in legal research tools (e.g. Westlaw, LexisNexis) (Required)
• Ability to manage multiple priorities and meet tight deadlines (Required)
• Strong knowledge of insurance products, terminology, and regulatory frameworks (Preferred)
• Paralegal certification from an ABA-approved program (Preferred)
