Job Description

The Corporate Law Group has an excellent opportunity for a Legal Secretary in the Orlando, Florida office. This is a non-exempt position that reports to the Human Resources Manager and collaborates with attorneys and staff on the Corporate Law team. This position requires an in-office presence five (5) days per week. The ideal candidate will possess exceptional organizational, planning, and interpersonal skills, along with the ability to thrive in a fast-paced environment with evolving priorities. This role requires a high level of attention to detail, creativity, initiative, and sound judgment. The position also supports partners involved in firm management and other high-level responsibilities; therefore, the ability to handle highly sensitive and confidential information is essential.

 

Responsibilities

  • Provide exceptional administrative and secretarial support to a team of three or more attorneys, delivering outstanding service to both internal and external clients and contributing to the Firm’s reputation for excellence.
  • Communicate regularly with attorneys to coordinate priorities, balance workloads, and ensure projects are completed accurately and within established deadlines and quality standards; seek guidance from the Human Resources Manager as needed.
  • Utilize Microsoft Office Suite (including Word, Excel, and PowerPoint), Litera Compare, Adobe, NetDocs, and other document management systems to prepare, revise, format, proofread, and finalize complex legal documents and correspondence.
  • Support corporate legal matters including:
      • Mergers and Acquisitions
      • Corporate Governance
      • Securities Offerings and Compliance
      • Other Corporate Transactions
    • Prepare and manage a variety of legal documents, including but not limited to:
      • Press releases
      • Offering memoranda
      • Board resolutions and consents
      • Legal opinions
      • Purchase and sale agreements
      • Partnership agreements
      • Bylaws
      • Employment and separation agreements
      • Engagement letters
      • Other transaction-related documents and correspondence
    • Review all documents for accuracy, formatting, completeness, and consistency, proactively identifying and resolving discrepancies.
    • Enter, edit, and proofread attorney time entries in Intapp and assist with Proforma billing review.
    • Prepare closing binders and support post-closing activities for corporate transactions.
    • File documents, order certificates, conduct Secretary of State searches, and coordinate with registered agents on filings and related searches.
    • Process expense reimbursements and request vendor payments through the Firm’s expense management system.
    • Provide dependable, flexible support to attorneys and team members.
    • Demonstrate teamwork by assisting other legal and administrative professionals as workload permits and supporting the onboarding and integration of new employees.
    • Perform additional duties and special projects as assigned.

          Qualifications

          • High School Diploma or General Education Degree (GED) required.
          • Minimum of three (3) years of experience as a corporate, transactional, or mergers and acquisitions legal assistant or legal secretary.
          • Advanced proficiency in Microsoft Office Suite and experience with NetDocs or similar document management systems and Intapp or comparable time-entry software.
          • Strong knowledge of contract law and related legal principles is preferred.
          • Exceptional organizational, interpersonal, and time-management skills, with the ability to manage multiple priorities simultaneously.
          • Demonstrated initiative, professionalism, discretion, and a collaborative team-oriented approach.
          • Ability to leverage available resources to produce accurate, high-quality work within established deadlines.
          • Strong verbal and written communication skills and a commitment to exceptional client service.
          • Notary Public certification preferred.
          • Ability to perform the essential functions of the position, with or without reasonable accommodation.
